All such Space Leases shall contain a provision to the effect that the Trustor and Space Lessee recognize the right of Beneficiary to elect and to effect such subordination of this Deed of Trust and consents thereto.
To the extent Purchaser receives rents (including operating expense, tax and insurance charges payable by a Space Lessee) on or after the Closing Date that such Space Lessee designates are payable as delinquent rents for any period prior to the Closing Date, Purchaser shall promptly deliver such amounts to Seller.
In the event of any loss or damage to any item of the Amenities located within an Apartment Space, Lessee shall notify Lessor thereof in writing within five (5) days after the occurrence of such Loss or Damage, and, if the loss or damage is due to the acts or omissions of Lessee, its guests, invitees or anyone for whom Lessee is responsible, Lessee shall immediately pay to Lessor an amount equal to the replacement cost of such item of the Amenities.
Except as disclosed in Exhibit D, (i) to Seller’s Knowledge, each Space Lease is in full force and effect; (ii) neither Seller nor Manager has received any written notice from any Space Lessee claiming that Seller is currently in default under any Space Leases; and (iii) no Space Lessee is in default in any material monetary obligation or, to Seller’s Knowledge, any material non-monetary obligation, under its Space Lease.
Lessee shall fulfill, perform and observe in all respects, at its own cost and expense, each and every condition and covenant of the lessor in each Space Lease and give prompt notice to Lessor of any claim or event of default under any Space Lease given to Lessee by any Space Lessee or given by Lessee to any Space Lessee, together with a complete copy or statement of any information submitted or referenced in support of such claim or event of default.
Upon commencement of the term for the First Right Space, Lessee shall pay additional rent in the amount of $18,433.80 per month ($0.28 p.s.f.) NNN.
In the event that any costs set forth in parts (B) through (G) above are expenditures to be paid by Lessee during the period of the assignment or sublease term for the Transferred Space, Lessee shall make a reasonable estimate of such expenditures and net profits shall be calculated based upon such estimates.
No Space Lessee is entitled to any “free rent” periods under any Space Lease that is not set forth in such Space Lease.
Thereafter Purchaser shall be the sole party entitled to bring an action or proceeding (or maintain the action commenced by Seller) against any Space Lessee for which such an advance has been made.
At the conclusion of the term with respect to a Site Space, Lessee shall surrender possession to Lessor of such Site Space in substantially the same condition as existed at the commencement of the leasing of such Site Space under this Lease, ordinary wear and tear excepted.
