Special Board Meeting definition

Special Board Meeting means a meeting of the Board called and held specifically for the purpose of considering the Executive’s termination for Cause that takes place not less than thirty (30) and not more than sixty (60) days after the Executive receives the Notice of Termination for Cause. The Executive shall be given an opportunity, together with counsel, to be heard at the Special Board Meeting. The Executive’s termination for Cause shall be effective when and if a resolution is duly adopted at the Special Board Meeting, stating that, in the good faith opinion of the Board, the Executive is guilty of the conduct described in the Notice of Termination for Cause, such conduct constitutes Cause under this Agreement and in the case of a termination for Cause as defined in subsection 3.05, such conduct has not ceased or been cured between the date the Executive received the Notice of Termination for Cause and the date of the meeting.
Special Board Meeting means a meeting of the Board other than a regular or inaugural meeting.
Special Board Meeting means a meeting of the Board of the nature described in Section 6.5;

  • Business transacted at a Special Board Meeting shall be limited to that specified in the notice calling the Meeting.

More Definitions of Special Board Meeting

Special Board Meeting means a Board meeting other than on a Board Day. If a special in-camera Board meeting is held in conjunction with a special Board meeting, they shall be deemed to be one meeting for the purposes of this bylaw. For clarity, a vote conducted under the authority of the Regional District Special Voting Regulation, does not constitute a Special Board meeting and is not eligible for meeting remuneration.
Special Board Meeting means a Board meeting other than a Regular Board Meeting to deal with a specific matter that is open to the public and at which speakers will be permitted;

The Executive shall recuse himself from participating as a Board member in the Special Board Meeting. The Executive may be accompanied by and consult with counsel during the Special Board Meeting. The Executive shall be given an opportunity to be heard at the Special Board Meeting. The Executive’s termination for Cause shall be effective when and if a resolution is duly adopted at the Special Board Meeting, stating that, in the good faith opinion of the Board, the Executive engaged in at least some of the acts and/or omissions described in the Notice of Termination for Cause and that such acts and/or omissions constitute Cause. If the Board’s determination of Cause does not rely on all of the acts or omissions set forth in the Notice of Termination for Cause, the Board’s resolution shall indicate which acts and/or omissions it relied upon and which it did not rely upon. Nothing in this Section 4(c) shall prevent Executive from disputing this determination pursuant to the dispute resolution procedure in Section 9, or require the arbitrator to give any deference to any Special Board Meeting resolution.
