Special Security definition

Special Security shall have the meaning assigned to it in Section 3.07 hereof.
Special Security means any Equity Security however named to which special rights, privileges or restrictions apply which prevent it from ranking pari passu with the voting securities of the Company but does not include any security that does not rank pari passu only by reason of being partly paid or not ranking equally for dividends or rebates.
Special Security means persons engaged in security activity as a merchant security agent or private security agent as defined herein, and holding a license issued by this city

Examples of Special Security in a sentence

  • Documentation may include, but is not limited to: Standard Form 328 (Certificate Pertaining to Foreign Interest); Listing of Key Management Personnel; an Organizational Chart; Security Control Agreements: Special Security Agreements; and Proxy Agreements or Voting Trust Agreements.

  • The Compensation Committee must recommend to the Board of Directors for its review and approval the annual compensation of the Corporation’s key management personnel (as such term is defined in the Special Security Agreement).

  • The policies and procedures must also provide assurance that “electronic communications” (as such term is defined in the Special Security Agreement) are not used by any of the Affiliates to exert influence or control over the Corporation’s business or management in a manner that could adversely affect the performance of classified contracts.

  • The members of the GSC shall cause the Corporation to develop and implement a Technology Control Plan (“TCP”), which shall be subject to inspection by the DSS no later than forty-five (45) calendar days following the execution of the Special Security Agreement.

  • The GSC must cause the Corporation to forebear any administrative services provided by the Affiliates to the Corporation that could circumvent the requirements of the Special Security Agreement.

  • Thereafter, the GSC must certify in writing that it is effectively monitoring the administrative services being provided, and that said administrative services do not allow the Affiliates to control or influence the management or business of the Corporation in violation of the Special Security Agreement.

Related to Special Security

  • Collateral Security means security, other than a security interest in a motor vehicle that is the subject of an installment sale contract, that is given to secure performance of an obligation of the buyer, or of any surety or guarantor for the buyer, under an installment sale contract. The term includes the undertakings of any surety or guarantor for the buyer and any interest in, encumbrance on, or pledge of real or personal property other than the motor vehicle that is the subject of the installment sale contract.

  • Additional Security has the meaning given in clause 10.6;

  • Capital Security means an undivided beneficial interest in the assets of the Issuer Trust, having a Liquidation Amount of $1,000 and having the rights provided therefor in this Trust Agreement, including the right to receive Distributions and a Liquidation Distribution as provided herein.

  • Supplemental security income means the program authorized under title XVI of the social security act, 42 USC 1381 to 1383f.

  • Security means a mortgage, charge, pledge, lien or other security interest securing any obligation of any person or any other agreement or arrangement having a similar effect.

  • Note Certificate means a certificate issued to each Registered Holder in respect of its registered holding of Notes;

  • Registered Security means any Security registered in the Security Register.
