Specific Results definition

Specific Results means information and items, other than i) Proprietary Tools, ii) Packaging Technology, iii) Mask Fabrication and Photoresist Technology, iv) Memory, v) SiGe Technology, and vi) Chip Designs, developed and/or contributed to the Process Development Projects by the Parties pursuant to the development work of the Process Development Projects as follows: The documentation produced for the Process Development Projects as set forth in Exhibit J attached hereto (“Documentation”); All information and items resulting from the Process Development Projects, including but not limited to methods, techniques, unit processes, process flows, structures in silicon, test software, and specifications for equipment, chemicals, masks and consumables; Any Background Know-How provided to the Process Development Project(s) by a Party pursuant to Section 3, below.
Specific Results means information and materials, other than i) Proprietary Tools, ii) Packaging Technology, iii) Mask Fabrication and Photoresist Technology, iv) Memory, v) SiGe Technology, vi) SOI Information, and vii) Chip Designs, developed under, and/or acquired, within the scope of the Process Development Projects by one or more Parties pursuant to the development work of the Process Development Projects, including as follows: The documentation produced for the Process Development Projects as set forth in Exhibit G attached hereto ("Documentation"); All Inventions, information, know-how and materials resulting from the Process Development Projects, including but not limited to methods, techniques, unit processes, process flows, structures in silicon, software and other copyrightable materials, and specifications for equipment, chemicals, masks and consumables; All derivative works or improvements created or developed by or for a Party solely or jointly as part of the Process Development Projects. For avoidance of doubt, the Parties acknowledge that Specific Results does not include Background Know-How.

Examples of Specific Results in a sentence

  • Ablynx shall as soon as reasonably practicable disclose to Merck in writing the conception, discovery or reduction to practice of any Program Specific Deliverables and/or Program Specific Results that are made, generated or otherwise created by or on behalf of Ablynx or its employees.

  • In the event of such withdrawal, any non-tangible information related to such information retained in the minds of the non-owning Party’s employees shall be treated as Specific Results by the non-owning Parties.

  • The resultant Derivative Technology may be used by the Participating Party to manufacture Integrated Circuits or Semiconductor Products for future customers, but such future customers will not get any access to any of the Specific Results and/or Background Know-How, except as otherwise set forth in this Section 4.

Specific Results means information and materials, other than i) Proprietary Tools, ii) Packaging Technology, iii) Mask Fabrication and Photoresist Technology, iv) Memory, v) SiGe Technology, vi) SOI Information, and vii) Chip Designs, developed under, and/or acquired, within the scope of the Process Development Projects by one or both Parties pursuant to the development work of the Process Development Projects or otherwise developed within the scope of the transfer assistance set forth in Section 3.6, below, including as follows: The documentation produced for the Process Development Projects as set forth in Exhibit G attached hereto ("Documentation"); All Inventions, information, know-how and materials resulting from the Process Development Projects and transfer assistance set forth in Section 3.6, including but not limited to methods, techniques, unit processes, process flows, structures in silicon, software and other copyrightable materials, and specifications for equipment, chemicals, masks and consumables; All derivative works or improvements created or developed by or for a Party solely or jointly as part of the Process Development Projects or the transfer assistance set forth in Section 3.6 from Background Know-How provided to the Process Development Project(s) or as part of such transfer assistance by a Party pursuant to Section 3, below. For avoidance of doubt, the Parties acknowledge that Specific Results does not include Background Know-How.
Specific Results means, with respect to the Development Project, information and items, (other than the “Specific Results Exclusions” specified in the Project Agreement) developed and/or contributed to the Development Project by the Parties pursuant to the development work of the Development Project as follows:

Related to Specific Results

  • Project Results means all data and results of the Project.

  • Research Results means any technical result acquired based on the Collaborative Research, including, but not limited to, any invention, idea, design, copyrightable work and know-how which relates to the purpose of the Collaborative Research.

  • Results means any information, documentation, designs, technical drawings, software (system and application software), algorithms, elaborated design data, technical or industrial data, tools, knowledge, know-how, trade secrets, equipment and services process, methodology, and any intellectual property therein, regardless of their support and whether or notprotected byan intellectual property right, developed, created or acquired by one Party during the execution of the Contract. The Results shall become the exclusive property of Purchaser as and when they are created or developed.

  • Category 4 Data is data that is confidential and requires special handling due to statutes or regulations that require especially strict protection of the data and from which especially serious consequences may arise in the event of any compromise of such data. Data classified as Category 4 includes but is not limited to data protected by: the Health Insurance Portability and Accountability Act (HIPAA), Pub. L. 104-191 as amended by the Health Information Technology for Economic and Clinical Health Act of 2009 (HITECH), 45 CFR Parts 160 and 164; the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. §1232g; 34 CFR Part 99; Internal Revenue Service Publication 1075 (xxxxx://xxx.xxx.xxx/pub/irs-pdf/p1075.pdf); Substance Abuse and Mental Health Services Administration regulations on Confidentiality of Alcohol and Drug Abuse Patient Records, 42 CFR Part 2; and/or Criminal Justice Information Services, 28 CFR Part 20.

  • Licensed Data means the data licensed by the LME to the Licensee set out in the Order Form and further defined in Schedule 1 (Licensed Data);

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Course Materials means lectures, exercises designed for online collaboration, multimedia developed for Web distribution, notes, outlines, syllabi, bibliographies, tests, instructional handouts, videotaped presentations and any like materials and documents (whether in electronic or other medium) that a member of the bargaining unit authors or creates in connection with the preparation or teaching of a course at a University.

  • Subject Data As used in this section, “subject data” means recorded information, whether or not copyrighted, that is delivered or specified to be delivered as required by the Underlying Agreement. Examples of subject data include, but are not limited to computer software, standards, specifications, engineering drawings and associated lists, process sheets, manuals, technical reports, catalog item identifications, and related information, but do not include financial reports, cost analyses, or other similar information used for performance or administration of the Underlying Agreement.

  • Development Data means all non-clinical, clinical, technical, chemical, safety, and scientific data and information and other results, including relevant laboratory notebook information, screening data, and synthesis schemes, including descriptions in any form, data and other information, in each case, that is generated by or resulting from or in connection with the conduct of Development of Products.

  • Study Data shall have the meaning set forth in Section 8.1.

  • Site content means textual, visual or aural content that is encountered as part of the user experience;
