Examples of Specified Contract in a sentence
The performance by the Company of its obligations under the Purchase Agreement and the performance by the Company of its obligations under the Indenture will not result in a breach of any of the terms and provisions of, the Company’s Charter or By-Laws, any provision of any Specified Contract (provided that we express no opinion as to compliance with any financial test or cross-default provision in such Specified Contract) or result in a violation of the Specified Laws.
Borrower shall not, hereafter, without PFG’s prior written consent, enter into any Specified Contract which is material to Borrower’s business or grants Borrower rights in Intellectual Property which is licensed by the Borrower to its customers or incorporated in products licensed or sold by the Borrower to its customers.
The Company has made available to Parent a complete and accurate copy of each Specified Contract.
As promptly as practicable after the date of this Agreement, Parent and the Company shall cooperate and to use their, commercially reasonable efforts to obtain any consents or waivers from, or file or record other documentation with, any third parties in respect of any Company Specified Contract that are necessary to be given, obtained and/or effected in order to consummate the Transactions.
The consummation of the transactions contemplated by this Agreement will not give rise to a right of another party to terminate or modify any Specified Contract.
