Specified ECF Percentage definition

Specified ECF Percentage means, with respect to any fiscal year of Holdings, (a) if the Consolidated Total Leverage Ratio as of the last day of such fiscal year is greater than 2.00 to 1.00, 50%, (b) if the Consolidated Total Leverage Ratio as of the last day of such fiscal year is less than or equal to 2.00 to 1.00 but greater than 1.50 to 1.00, 25%, and (c) if the Consolidated Total Leverage Ratio as of the last day of such fiscal year is less than or equal to 1.50 to 1.00, 0%.
Specified ECF Percentage means, with respect to any fiscal year, (a) if the Total Net Leverage Ratio as of the last day of such fiscal year is greater than 2.75 to 1.00, 50%, (b) if the Total Net Leverage Ratio as of the last day of such fiscal year is less than or equal to 2.75 to 1.00, but greater than 2.25 to 1.00, 25% and (c) if the Total Net Leverage Ratio as of the last day of such fiscal year is less than or equal to 2.25 to 1.00, 0%; provided that, in each case, if the Excess Cash Flow for such fiscal year is less than or equal to $10,000,000, the Specified ECF Percentage for such fiscal year shall be 0%.
Specified ECF Percentage means, with respect to mandatory prepayments under Section 2.11(d) in respect of Excess Cash Flow for any fiscal year of Holdings commencing with the fiscal year ended December 31, 2015, (a) 50%, if the Total Leverage Ratio as of the last day of such fiscal year is equal to or greater than 3.75 to 1.0, (b) 25%, if the Total Leverage Ratio as of the last day of such fiscal year is less than 3.75 to 1.0 and equal to or greater than 3.00 to 1.0, and (c) 0%, if the Total Leverage Ratio as of the last day of such fiscal year is less than 3.00 to 1.0.
