Specified Qualification definition

Specified Qualification means (i) the first instance of the word “material” in the representations and warranties set forth in Section 3.6(a), (ii) the references toCompany Adverse Effectin clause (a) of the Section 3.7, and (iii) the use of the word “material” as used in the defined termsCompany Material Adverse Effect,” “Material Contracts” and “Parent Material Adverse Effect.”
