SpinCo Specified Assets means the assets set forth on Schedule 1.1J.
SpinCo Specified Assets means the assets set forth on Schedule 1.1J. “SpinCo Specified Liabilities” means the liabilities set forth on Schedule 1.1F.
Specified Assets the following property and assets of such Grantor:
long term specified asset means any bond, redeemable after three years and issued on or after the 1st day of April 2006:
SpinCo Assets shall have the meaning set forth in Section 2.2(a).
Specified Asset as defined in subsection 4.2.2 hereof.
Included Assets has the meaning in Section 5.1(d)(ii)(A).
Specified Asset Sale has the meaning specified in Section 2.05(b)(vi).
Retained Liabilities has the meaning set forth in Section 2.4.
Related Business Assets means assets (other than cash or Cash Equivalents) used or useful in a Similar Business; provided that any assets received by the Issuer or a Restricted Subsidiary in exchange for assets transferred by the Issuer or a Restricted Subsidiary shall not be deemed to be Related Business Assets if they consist of securities of a Person, unless upon receipt of the securities of such Person, such Person would become a Restricted Subsidiary.
SpinCo Business has the meaning set forth in the Separation and Distribution Agreement.
SpinCo Liabilities shall have the meaning set forth in Section 2.3(a).
Excluded Liability means any liability that is excluded under the Bail-In Legislation from the scope of any Bail-In Action including, without limitation, any liability excluded pursuant to Article 44 of the Bank Recovery and Resolution Directive.
Assumed Liabilities has the meaning set forth in Section 2.3.
Excluded Liabilities has the meaning set forth in Section 2.4.
Excluded Assets has the meaning set forth in Section 2.2.
Pre-Closing Environmental Liabilities means (i) any violation of Environmental Law arising in connection with the ownership or operation of the Properties prior to the Effective Time, (ii) any Release of Hazardous Substances onto or from the Properties prior to the Effective Time or relating to or arising from any activities conducted on such properties or from operation of such assets prior to the Effective Time and (iii) any claim, action, cause of action, inquiry, investigation, remediation, removal or restoration with respect to the matters set forth in subsection (i) or (ii) above
Retained Assets has the meaning set forth in Section 2.2.
Transferred Assets has the meaning set forth in Section 2.1.
Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.
Business Assets means all tangible and intangible property and assets owned (either directly or indirectly), leased, licensed, loaned, operated or used, including all real property, fixed assets, facilities, equipment, inventories and accounts receivable, by the Corporation and the Subsidiaries in connection with the Business;
After-Acquired Intellectual Property has the meaning assigned to such term in Section 4.02(d).
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
Pre-Closing Straddle Period means the portion of a Straddle Period ending on the Closing Date.
Transferred Liabilities has the meaning set forth in Section 2.02(a).
Excluded Asset means any asset of any Grantor excluded from the security interest hereunder by virtue of Section 2.2 hereof but only to the extent, and for so long as, so excluded thereunder.
Transferred Asset means each asset, including any Loan Asset and Substitute Loan Asset (including, if any, the Participation thereof), Conveyed by the Seller to the Purchaser hereunder, including with respect to each such asset, all Related Property; provided that the foregoing will exclude the Retained Interest and the Excluded Amounts.
