Neither Seller nor Parent (i) has provided or caused to be provided within the last twelve (12) months, or (ii) provides or causes to be provided, any assets, services or facilities that relate to the Business to any Seller Affiliate, any Spire Person or any officer, director, employee of any Seller Affiliate.
None of Seller, Parent and the other Seller Affiliates has received any written notice or, to Seller's Knowledge, oral notice from any Governmental Authority or any Spire Person of any deficiency with respect to any Permit.
