Sponsor Securities definition

Sponsor Securities means any Sponsor Global Securities or any temporary Securities or Physical Securities issued in exchange for beneficial interests in a Sponsor Global Security.
Sponsor Securities shall have all of the Equity Shares held by the Sponsors in the Company.
Sponsor Securities has the meaning set forth in Section 6.3.

  • The Sponsor Securities (as defined below) and the Incentive Distribution Rights and the limited partnership interests represented thereby have been duly authorized and validly issued in accordance with the Partnership Agreement and fully paid (to the extent required under the Partnership Agreement) and non-assessable (except as such non-assessability may be affected by matters described in Section 41 of the ▇▇▇▇▇▇▇▇ Islands Limited Partnership Act (the “▇▇▇▇▇▇▇▇ Islands LP Act”)).

  • Sponsor has, and will have at all times during the term of this Sponsor Agreement, the sole voting power with respect to the Sponsor Securities.

  • Notwithstanding Section 316(a)(1) of the TIA (which, for the avoidance of doubt, shall not apply to this Indenture until this Indenture is qualified under the TIA) or anything herein to the contrary, to the fullest extent permitted by law, no Sponsor Securities shall be deemed to be owned by the Company or any of its Subsidiaries or Affiliates for purposes of this Indenture, the Securities and any direction, waiver or consent with respect thereto.

  • The Company and Buyer each acknowledge that pursuant to the Registration Rights Agreement, Buyer may request a registration statement relating to the Sponsor Securities be filed with the SEC; provided that such registration statement does not become effective prior to the end of the Lock-Up Period.

  • In case no instructions or directions are provided by APGL, the Sponsors shall vote for its Sponsor Securities in the manner consistent and in agreement with the voting by APGL on its Equity Shares in the Company.

  • The Call Option Notice shall set out the number of Equity Shares to be sold by each Sponsor, the sale price for each such Equity Share (“Call Option Price”) and the date (“Call Settlement Date”) on which the Sponsors shall sell the Sponsor Securities to the Call Purchaser.

  • The Sponsors hereby irrevocably agree to transfer the Sponsor Securities at the Call Option Price as indicated in the Call Option Notice.

  • It is clarified that the Sponsors shall not Transfer any Equity Shares they hold in the Company other than pursuant to Clause 6.8 (Buy Back of Sponsor Securities) Clause 6.9 (APGL’s Call Option) and Clause 6.10 (Sponsors’ Put Option).

  • On the Call Settlement Date, the Sponsors shall sell the Sponsor Securities to the Call Purchaser by delivery of the share certificates representing such Sponsor Securities (free and clear from all Encumbrances), together with duly endorsed forms of transfer in respect of such Sponsor Securities to the Call Purchaser; and the Call Purchaser shall pay in full the applicable Call Option Price as mentioned in the Call Option Notice to the Sponsors.

  • Such written notice shall include a certification therein that the beneficial owners delivering such written notice are holders that hold beneficial interests in the Sponsor Securities subject to conversion.


More Definitions of Sponsor Securities

Sponsor Securities shall have the meaning given in the Preamble hereto.
Sponsor Securities means the 100 Class A Units of Opco, and corresponding number of Class B Ordinary Shares, and the 2,500 Class A Ordinary Shares purchased by Sponsor in a private placement prior to the Public Offering; and (viii) “Warrants” shall refer to the Public Warrants and the Private Placement Warrants, collectively.
Sponsor Securities means, collectively, the Class A Ordinary Shares and Private Warrants held by Sponsor. Sponsor Securities do not include Class A Ordinary Shares issued pursuant to the Common Equity Financing, Backstop Shares or Acquired Shares.
Sponsor Securities means all Equity Securities and Debt Securities of the Company held by the Sponsor from time to time;
Sponsor Securities means the Sponsor Shares and the Sponsor Warrants.
Sponsor Securities means preferred securities or subordinated debt securities issued or sold to any shareholder that is party to (or hereafter becomes a party to) the Shareholders' Agreement, or any of their respective controlled affiliates; provided that (i) the terms of such securities do not provide for any collateral security, subsidiary guaranties, offers to purchase or redeem, scheduled repayment of principal, payment of interest, covenants, events of default, mandatory redemption or sinking fund obligation prior to three months after maturity of the Term B Loan facility and (ii) the subordination terms are otherwise satisfactory to the Administrative Agent.
