• The closing of the sale and purchase of the Sunshine SPV Shares (the “First Closing”) shall take place at 10:00 a.m. EST (or as soon thereafter as may be practicable) on the date hereof (the “Closing Date”), followed immediately thereafter by the closing of the sale and purchase of the Holdings Shares (the “Second Closing” and, together with the First Closing, the “Closings”).
