SPV Shares definition

SPV Shares means the shares representing the entire capital of the Special Purpose Vehicles.

SPV Shares means all the outstanding ordinary shares of an SPV on the Closing Date. “Stock Consideration” means 13,500,000 shares of the Buyer Common Stock.

SPV Shares has the meaning ascribed to it in the Recitals, i.e., 1 ordinary share at a par value of US$1.00 of the SPV (as adjusted by share dividend, share combination or similar recapitalization events).
