Buyer may interview the senior level managers listed on Schedule 8.2(A) for the purpose of determining proper job fit for SSG Employees.
For the purpose of this Agreement, the term "SSG Employees" means all employees of the Business, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, and employees on long-term disability leave.
Seller agrees to maintain responsibility for any Liability under the WARN Act or any similar state law through the Closing Date of the sale for SSG Employees not offered a position and not retained in another role at Seller, provided that neither Seller nor Buyer shall be responsible for the payment of any severance benefits to SSG Employees who are offered positions with the Buyer and decline such employment.

Buyer will not have any responsibility, liability or obligation, whether to SSG Employees, former employees, their beneficiaries or to any other Person, with respect to any Employee Plans, practices, programs or arrangements (including the establishment, operation or termination thereof and the notification and provision of COBRA continuation coverage) maintained by Seller.
