SSL Group definition

SSL Group means SSL and those specific Affiliates set forth on Exhibit A attached hereto and incorporated herein by this reference. For the avoidance of doubt, for purposes of this Agreement, no member of the SunEdison Group shall be deemed to be an Affiliate of any member of the SSL Group after the Effective Date.

Examples of SSL Group in a sentence

  • SSL covenants and agrees to cause the other members of the SSL Group to comply with all applicable terms and conditions set forth in this Agreement and acknowledges it shall be liable for any breach of the terms of this Agreement caused by any member of the SSL Group.

  • Subject to the terms and conditions of this Agreement, SSL hereby grants, on behalf of itself and the other members of the SSL Group, and shall cause the other members of the SSL Group to grant, to SunEdison an exclusive, worldwide, perpetual, non-transferable (except as provided in Section 6.9), royalty-free right and license, with the right to grant sublicenses as set forth in Section 2.3, to use the Licensed SSL IP in the SunEdison Field.

  • The members of the SSL Group shall bear the economic and legal risk that any conveyances of such assets shall prove to be insufficient or that the SSL Group’s members’ title to any such assets shall be other than good and marketable and free of encumbrances.

  • Notwithstanding the foregoing, SunEdison shall, or shall cause the other applicable members of the SunEdison Group to, use commercially reasonable efforts to cure any material defects in the applicable SSL Group member’s title to any transferred Assets; provided that the SSL Group shall pay any expenses or any other Liability to any third party incurred by the members of the SunEdison Group in connection with such commercially reasonable efforts.

  • SSL shall cause to be performed, and hereby guarantees the performance of, all actions, agreements and obligations set forth in this Agreement or in any Ancillary Agreement to be performed by any member of the SSL Group.

  • SSL covenants and agrees to cause the other members of the SSL Group to comply with all the terms and conditions set forth in this Agreement and acknowledges it shall be liable for any breach of the terms of this Agreement caused by any member of the SSL Group.

  • The Parties acknowledge and agree that the acquisition of a controlling interest of SSL, or any member of the SSL Group possessing rights under this Agreement, by certain Third Parties which may have a conflict of interest with the business objectives of SunEdison presents a potential risk to SunEdison.

  • Except as expressly set forth in this Agreement or any Ancillary Agreement, no member of the SSL Group makes any representation or warranty of any kind whatsoever, express or implied, to any member of the SunEdison Group in any way with respect to the transactions contemplated hereby or any other matter, including as to the amount or nature of, or any other matter concerning, the Liabilities of the members of the SunEdison Group.

  • During the FFY 2014 grant cycle, Ohio EPA is particularly interested in funding two or three intensive agricultural projects employing multiple management practices in concentrated areas of known impairment.

Related to SSL Group

  • SAP Group means SAP Parent and any of its Associated Companies.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Minority Group means any of the following racial or ethnic groups:

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • SpinCo shall have the meaning set forth in the Preamble.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Control Group means the Company and its Affiliates.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Local Distribution Company or “LDC” means a Person licensed by the OEB as a “Distributor” in connection with a Distribution System.

  • Tax Group means any federal, state, local or foreign consolidated, affiliated, combined, unitary or other similar group of which the Acquiror Company is now or was formerly a member.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • Participating Subsidiaries means the Subsidiaries that have been designated as eligible to participate in the Plan, and such other Subsidiaries that may be designated by the Committee from time to time in its sole discretion.

  • Partnership Group Member means any member of the Partnership Group.

  • Sponsor Group means the Sponsors and the Sponsor Related Parties.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • ITT has the meaning given to it in the recitals to this Framework Agreement;
