Notwithstanding anything to the contrary in this Development Agreement, in the event there is not unanimous consensus on any matter relating to the Stadium Improvements Work, the Development Committee Chair shall be the final-decision maker on all cost-related items that would not reasonably be anticipated to have a materially adverse impact on the Authority’s future Capital Expenses obligations under the Lease.
For the Stadium Improvements only, the Owner shall pay the Expenses to the Project Manager, up to a maximum amount of three percent (3%) of the Soft Costs and Hard Costs of the Stadium Improvements.

The Stadium Improvements represent a capital investment at the Premises of no less than Five Hundred Thousand Dollars and NO/100 ($500,000.00) and shall be constructed and completed on or before May 1, 2022.
