Statement of Assets definition

Statement of Assets shall have the meaning ascribed to such term in Section 3.4(a).

Statement of Assets means a statement of assets sold prepared in accordance with the Accounting Convention.
Statement of Assets means a statement given by an enforcement debtor, under penalty of criminal liability before a court or other relevant body, which contains a list of all the assets of the enforcement debtor as well as all his claims, and states that such information is complete and accurate.

  • Permitted Acquisition Certificate means a certificate substantially the form of Exhibit F or any other form approved by the Administrative Agent.

  • Interim Balance Sheet has the meaning set forth in Section 3.06.

  • Foreign Subsidiary Total Assets means the total assets of the Foreign Subsidiaries, as determined on a consolidated basis in accordance with GAAP in good faith by a Responsible Officer.

The term does not include a person that acquires goods in a transfer in bulk or as security for or in total or partial satisfaction of a money debt.

  • Off-Balance Sheet Arrangement means any transaction, agreement or other contractual arrangement to which an entity unconsolidated with the Borrower is a party, under which the Borrower has:

  • Lessee in ordinary course of business means a person who in good faith and without knowledge that the lease to him or her is in violation of the ownership rights or security interest or leasehold interest of a third party in the goods leases in ordinary course from a person in the business of selling or leasing goods of that kind but does not include a pawnbroker.
