Statutory Preferential Right definition

Statutory Preferential Right means any Current Preferential Right and any similar preferential right of holders of bonds, notes and debentures issued or to be issued by the Company or any Principal Subsidiary to be paid prior to other unsecured indebtedness of the Company or the relevant Principal Subsidiary, as the case may be, arising pursuant to the Electricity Business Act or any other Japanese statute in force from time to time.

  • Preferential Rights means any right or agreement that enables any Person to purchase or acquire any Asset or any interest therein or portion thereof as a result of or in connection with (a) the sale, assignment or other transfer of any Asset or any interest therein or portion thereof, or (b) the execution or delivery of this Agreement or the consummation or performance of the terms and conditions contemplated by this Agreement.

  • Safe Preferred Stock means the shares of the series of Preferred Stock issued to the Investor in an Equity Financing, having the identical rights, privileges, preferences and restrictions as the shares of Standard Preferred Stock, other than with respect to: (i) the per share liquidation preference and the initial conversion price for purposes of price-based anti-dilution protection, which will equal the Conversion Price; and (ii) the basis for any dividend rights, which will be based on the Conversion Price.

  • Series C Liquidation Preference means a liquidation preference for each Series C Preferred Unit initially equal to $25.00 per unit (subject to adjustment for any splits, combinations or similar adjustments to the Series C Preferred Units), which liquidation preference shall be subject to increase by the per Series C Preferred Unit amount of any accumulated and unpaid Series C Distributions (whether or not such distributions shall have been declared).

  • Commercial Rights means any and all rights of a commercial nature connected with the Event including, without limitation, broadcasting rights, sponsorship rights, merchandising and licensing rights, ticketing rights, promotional rights, catering and hospitality rights, New Media rights and interactive games rights;

  • Series B Liquidation Preference means a liquidation preference for each Series B Preference Unit initially equal to $25.00 per unit, which liquidation preference shall be subject to (a) increase by the per Series B Preference Unit amount of any accumulated and unpaid distributions (whether or not such distributions shall have been declared) and (b) decrease upon a distribution in connection with a Liquidation Event described in Section 17.4 which does not result in payment in full of the liquidation preference of such Series B Preference Unit.
