Stay Date definition

Stay Date means the date upon which the Court enters an order staying and enjoining all pending state and federal proceedings and those commenced hereafter regarding Released Claims, including claims for contribution and indemnity, against Interneuron and the Released Parties.

Examples of Stay Date in a sentence

  • Following consummation of the Tender Offer, the certificates representing the Bonus Shares not purchased in the Tender Offer shall be held by the Company during the period (the "Restricted Period") ending on the Stay Date (as defined below).

  • The parties will jointly seek an order continuing the stay and preliminary injunction entered on the Stay Date, to be entered contemporaneously with the order preliminarily approving the settlement.

  • Such Options and Restricted Shares shall vest in full on the earlier of a Change in Control (as defined in Exhibit A) or on the Stay Date (as defined below) so long as the Executive has not had a Disqualifying Termination prior to such vesting date.

  • This payment will, of course, be subject to normal tax withholding and will be paid to you within ten (10) days after your Stay Date.

  • If earned, the Retention Bonus cash payment will be made to you in a lump sum within ten (10) days after your Stay Date.

  • If the Executive remains continually employed by the Company from the Effective Date through the consummation of a Change in Control (the “Stay Date”), then the Company shall pay in the form of a lump sum cash payment to the Executive not later than the 30th day following the Stay Date, a one-time bonus (the “Stay Bonus”), in the amount of $50,000.

  • No Eligible Employee will be entitled to receive a Retention Bonus if he or she voluntarily terminates employment with the Company for any reason prior to his or her Stay Date.

  • This payment will be made to you regardless of whether you continue to be employed by the Company or a Company affiliate after your Stay Date.

  • If you remain continuously employed by the Company or by another Company affiliate on a full-time basis from the Effective Time through your Stay Date and are still so employed on your Stay Date, you will become entitled to a cash payment in the amount of $55,100.00 (subject to normal tax withholding).
