STMicroelectronics Conversion definition

STMicroelectronics Conversion means the conversion of indebtedness in the amount of principal and interest owed by MPS and guaranteed by MPI to STMicroelectronics, Inc. (and/or any one or more assignees and/or transferees of STMicroelectronics, Inc.), accrued as of December 31, 1997 (which is the entire amount MPI and STMicroelectronics have agreed is due and payable) into One Million Three Hundred Twenty Two Thousand Six Hundred Forty One (1,322,641) shares of Series A Preferred Stock.

Related to STMicroelectronics Conversion

  • Metallic coating means a coating which contains more than five grams of metal particles per liter of coating, as applied. Metal particles are pieces of a pure elemental metal or a combination of elemental metals.

  • IOSCO means the International Organisation of Securities Commissions.

  • Topco has the meaning set out in the Preamble;

  • coronavirus means severe acute respiratory syndrome coronavirus 2 (SARS-CoV-2);

  • PNode has the meaning set forth in the CAISO Tariff.

  • Insight as used in this clause, means technical visibility into the Program, maintained through audit, surveillance, assessment of trends and metrics, software independent verification and validation, the flight readiness review process, and review or independent assessment of out-of-family anomalies occurring in any phase of the program.

  • BOC means the Office of the Commissioner of Baseball, an unincorporated association comprised of the Major League Clubs who are party to the Major League Constitution, and any successor organization thereto.

  • Powertrain means the total combination in a vehicle of propulsion energy storage system(s), propulsion energy converter(s) and the drivetrain(s) providing the mechanical energy at the wheels for the purpose of vehicle propulsion, plus peripheral devices.

  • IMS has the meaning set forth in Section 6.5.4(i).
