Stock Outstanding definition

Stock Outstanding means the aggregate of all Common Stock outstanding and all Common Stock previously deemed issued pursuant to Section 3.3.2.3 at a price which was less than the Stock Purchase Price in effect on the date of and immediately prior to such issuance, and as a result of which the Stock Purchase Price was reduced.
Stock Outstanding means the aggregate of all Common Stock outstanding and all Common Stock issuable upon exercise of all outstanding Options and conversion of all outstanding Convertible Securities.
