However, Landlord shall not be obligated to maintain or repair windows, doors, plate glass, surfaces of exterior walls, or the membrane or other nonstructural elements of the roof and the same shall not be deemed to be included within the definition of the Structural Portions of the Premises Building.
Except to the extent caused by Tenant's specific use of the Premises or the negligent acts or intentional misconduct of Tenant, its agents, employees, or contractors, or as otherwise provided under this Lease, Landlord shall repair and maintain in good order, condition and repair the foundation, exterior walls and structural portions of the roof of the Building ("Structural Portions of the Building").
Tenant shall not make any alterations, additions or improvements ("Alterations") to the Property, without Landlord's prior written consent, which shall not be unreasonably withheld, except for non structural alterations in the interior of the Building that do not affect the Structural Portions of the Building or exterior of the Building ("Permitted Alterations").
Notwithstanding anything to the contrary, Landlord, at Landlord's sole cost and expense, shall be solely responsible for repairing latent structural defects in the Structural Portions of the Building during the Initial Term and any Renewal Terms (provided that if Tenant has penetrated, attached any item to, or otherwise damaged the same, Landlord shall not be responsible for, nor shall Landlord remedy, any defects attributable to such actions or conditions).
All such Alterations which affect the Structural Portions of the Building or the exterior of the Building ("Structural or Exterior Alterations") shall be performed by a contractor approved by Landlord, in its reasonable discretion.
After the Lease Commencement Date, Landlord shall comply with all requirements of governmental authorities related to the Structural Portions of the Building which are required by such authorities in the enforcement of applicable Governmental Laws.
Landlord shall, during the Lease Term or any extensions thereof, and at Landlord's sole cost and expense, repair the exterior structural parts of the Building (including the foundation, concrete walls, and roof structure) (the "Structural Portions").
Tenant shall promptly report in writing to Landlord any defective condition in the Structural Portions of the Building actually known to Tenant which Landlord is required to repair, and failure to so report such defects shall excuse any delay by Landlord in commencing and completing such repair to the extent the same would otherwise be Landlord’s responsibility under this Lease.
Subject to the terms of Paragraph VI.C.1 above, Landlord shall make such repairs and replacements to the Structural Portions of the Building as required by Best Management Practices of Class A office parks in the Metropolitan Area.
Tenant shall, at its expense, make all repairs and replacements (except Structural Portions and major components of the Utilities, which are the sole responsible and liability of the Landlord to repair, maintain and replace), and otherwise, necessary or desirable in order to keep in good order and repair the exterior and interior, non-structural components of the Demised Premises.
