STV Employee definition
STV Employee means an active employee or an employee on vacation or on a leave of absence (including under the Canada Labour Code, the Employment Standards Act (Ontario) or other applicable legislation) who is employed by, is to be employed effective immediately after the Effective Time (regardless of whether such employee accepts employment) by or will be employed by STV or any member of the STV Group or otherwise primarily provides or provided services for the Specialty Television Business, including those employees of the Predecessor and its Subsidiaries listed in Schedule 1.1(140). For the avoidance of doubt, STV Employee shall include, during the term of the Transition Services Agreement, the employees listed in Exhibit B to the Transition Services Agreement and shall include such employees who, as of the Closing Date, are receiving short-term or long-term disability benefits or workers’ compensation benefits and, unless otherwise specified herein, any Former STV Employees.
