Subject Distribution definition

Subject Distribution means cash dividends and acquisitions of Capital Stock that are made pursuant to Section 11.6(b) or Section 11.6(c)(ii) at the time when the Leverage Ratio, calculated on a pro forma basis after giving effect to all outstanding Funded Debt as of the date of the applicable payment of cash dividends or acquisition of Capital Stock and any Funded Debt incurred in connection therewith, is greater than or equal to 3.003.50 to 1.00.

  • Post-Distribution Period means any Tax Period beginning after the Distribution Date and, in the case of any Straddle Period, the portion of such Tax Period beginning on the day after the Distribution Date.
