Subject Guaranties definition

Subject Guaranties means the Bank Guaranty, the Prudential Guaranties and the Additional Guaranties.
Subject Guaranties has the meaning set forth in Section 5.13.

Examples of Subject Guaranties in a sentence

  • Buyer shall reimburse and hold harmless each ▇▇▇▇ ▇▇▇▇▇ Seller, Seller or any of their Affiliates that remains a guarantor under any Subject Guaranty with respect to the obligations covered by such Subject Guaranty and shall pay, or cause to be paid, any amounts due thereunder on demand, such that no guarantor (other than Buyer or one of its Affiliates) shall from and after the Closing incur any cost, liability or expense whatsoever arising from or in connection with the Subject Guaranties.

  • Upon the request of Buyer, Seller shall maintain the Subject Guaranties in force for a period of thirty (30) days following the Closing.

  • Buyer agrees not to modify the terms of any such Subject Guaranties, or consent to any modification, without the prior written consent of Seller.

  • Buyer shall cause or procure the release, within thirty (30) days after the Closing Date, of all liabilities or obligations of Seller or any of its affiliates with respect to the Subject Guaranties from any of the liabilities or obligations of Buyer under this Agreement for post-Closing periods.

  • Buyer shall reimburse Seller and its affiliates for any reasonable out-of-pocket expense incurred by Seller or its affiliates with respect to maintaining the Subject Guaranties for periods after the Closing Date.

Related to Subject Guaranties

  • Guaranties means, collectively, each Subsidiary Guaranty and any other guaranty executed by any Guarantor in favor of Agent and Lenders in respect of the Obligations.

  • Guaranty Agreements means and includes the Guarantee of the Loan Parties provided for in Section 11 and any other guaranty agreement executed and delivered in order to guarantee the Secured Obligations or any part thereof in form and substance acceptable to the Administrative Agent.

  • Subsidiary Guaranties means the Domestic Subsidiary Guaranty and each Foreign Subsidiary Guaranty.

  • Parent Guaranty means the guaranty of the Parent pursuant to Section 15.

  • Environmental Agreement means the Environmental Indemnification and Release Agreement of even date herewith by and between Borrower and Lender pertaining to the Property, as the same may from time to time be extended, amended, restated or otherwise modified.
