If there is any conflict between any term, covenant or condition of this Subordination Agreement and any term, covenant or condition of any of the Subordinate Note Documents or the Senior Debt Documents, the provisions of this Subordination Agreement shall control and govern.
Except for the Loan Documents, the Subordinated Note Purchase Agreement, the subsidiary guaranties executed in connection therewith, the other Subordinate Note Documents, the Falcon Seaboard Settlement Agreement, and the Hedging Agreements, neither the Borrower nor any of its Subsidiaries are parties to any Material Agreements in effect or to be in effect as of the Closing Date providing for, evidencing or securing any material Indebtedness of the Borrower or any of its Subsidiaries.
The Administrative Agent shall have received a certificate of an Authorized Officer of Borrower, identifying the Subordinate Note Documents; true and correct copies of the Subordinate Note Documents shall be attached to such certificate or shall have been previously delivered to the Administrative Agent.
The terms and provisions of the Subordinate Note Documents shall be satisfactory to the Administrative Agent in its sole discretion.
