Subordinated Amounts definition

Subordinated Amounts means any (i) cash amount of Principal of, premium, if any, and Interest on this Note (including payment of the Redemption Price), and (ii) other cash amounts payable to the Holder under this Note, the Warrants, the Separate Tranche Warrants, the Securities Purchase Agreement and the Registration Rights Agreement, including, without limitation, payments of any closing fees, payments for reimbursable costs, fees and expenses relating to the transactions evidenced hereby and thereby, and reimbursement and indemnification payments required to be paid pursuant to the terms hereof or of the Securities Purchase Agreement or Registration Rights Agreement but specifically excluding Pro Rata Permitted Payments.
Subordinated Amounts shall have the meaning provided in Section 9.01.
Subordinated Amounts means the (i) repayment by SWMP to Junior Claimant of any principal and interest on the Renegy Loans in accordance with Section 4.4 of the LLC Agreement and (ii) the payment by SWMP to Junior Claimant of Renegy Fees in accordance with Section 8.2 of the LLC Agreement.
