Subordinated Lien Documents definition

Subordinated Lien Documents means, collectively, any indenture, credit agreement or other agreement governing each Subordinated Lien Debt Facility and the security documents and other agreements related thereto (other than any security documents that do not secure Subordinated Lien Obligations), including, to the extent applicable, Hedge Agreements.

• In the event of any conflict between any term, covenant, or condition of this Agreement and any term, covenant or condition of any of the Senior Loan Documents, the provisions of the Lease pertaining to the Liens in favor of the Subordinated Creditor or the Subordinated Lien Documents, or any of the Subordinated Lien Documents, the provisions of this Agreement shall control and govern.

• Until the Senior Debt has been indefeasibly paid in full in cash and all lending commitments under the Senior Debt Documents have terminated, and notwithstanding anything to the contrary contained in the Subordinated Lien Documents, the Subordinated Creditor shall not, without the prior written consent of the Senior Agent, agree to any amendment, modification, or supplement to the Subordinated Lien Documents.

• Except as otherwise expressly set forth in Section 2.1(a), Section 2.2(a), Section 2.3, Section 3.5 and Article 6 of this Agreement, each Subordinated Lien Collateral Agent and Subordinated Lien Secured Party may exercise rights and remedies as an unsecured creditor against the Company or any Subsidiary that has guaranteed the applicable Subordinated Lien Obligations in accordance with the terms of the applicable Subordinated Lien Documents and applicable law.

• From and after the date upon which the Discharge of ABL Obligations shall have occurred (or, with respect to the CF Collateral Agent, acting on behalf of itself and the CF Secured Parties, prior thereto upon the occurrence of the CF Enforcement Date), the Subordinated Lien Collateral Agents or any Subordinated Lien Secured Party may Exercise Any Secured Creditor Remedies under the applicable Subordinated Lien Documents or applicable law as to any Common Collateral.

More Definitions of Subordinated Lien Documents

Subordinated Lien Documents means, collectively, the Subordinated Lien Debt Documents, the Subordinated Lien Security Documents and each of the agreements, documents and instruments providing for or evidencing any other Subordinated Lien Obligation, and any other document or instrument executed or delivered at any time in connection therewith, to the extent such are effective at the relevant time, as each may be amended, restated, supplemented, modified, renewed, extended or refinanced from time to time.

Subordinated Lien Documents means, collectively, the Second Lien Notes Indenture and any other indenture, credit agreement or other agreement, document or instrument evidencing, governing, relating to or securing any Subordinated Lien Debt (including Subordinated Lien Debt incurred after the date hereof), including, without limitation, the Second Lien Collateral Documents.

Subordinated Lien Documents as defined in the Intercreditor Agreement, which documents shall be in form and substance satisfactory to Agent.

Subordinated Lien Documents means, collectively, the CF Documents and the Bonds Documents.

Subordinated Lien Documents means the Subordinated Security Agreement or other collateral document securing the Lease Debt, together with all other documents, agreements and instruments now existing or hereinafter entered into which grant or evidence (or which purport to grant or evidence) any Lien or other interest in favor of Subordinated Creditor in any Collateral.

Subordinated Lien Documents has the meaning given to such term in the General Intercreditor Agreement.
