Subsequent Subscription Period definition

Subsequent Subscription Period means any extension of the subscription period in the Fund for 5 business days.
Subsequent Subscription Period has the meaning ascribed to it in Clause 9.3.1;
Subsequent Subscription Period shall have the meaning set forth in Section 7.II of this Agreement.

  • Allfunds Bank,S.A.U. may receive payment of an up-front fee which will be recouped from the Net Asset Value of Class P Units over three (3) years, starting on the 1st day after the end of the Subsequent Subscription Period, as set out below.

  • Payment obligations are non-cancellable, and Fees paid are non-refundable, and usage limits cannot be decreased during the Initial Subscription Period or a Subsequent Subscription Period.

  • For the avoidance of doubt, any promotion or discounted Fees offered by risr/ during the Initial Subscription Period or any Subsequent Subscription Period will not apply during any new Subsequent Subscription Period unless specified in an Order Form.

Related to Subsequent Subscription Period

  • Subscription Period means the duration of Customer’s authorized use of the Subscription Services as designated in the Order.

  • Minimum Subsequent Subscription means, in relation to the Euro RDR ‘Retail’ Hedged

  • Subscription Term means the initial subscription term and if applicable any renewal subscription term of a Cloud Service identified in the Order Form.

  • Failed Remarketing Condition—Purchased VRDP Shares Redemption means redemption by the Corporation, at a redemption price equal to $100,000 per share plus accumulated but unpaid dividends thereon (whether or not earned or declared) to, but excluding, the date fixed by the Board of Directors for redemption, of shares of a Series of VRDP Shares that the Liquidity Provider shall have acquired pursuant to the Purchase Obligation and continued to be the beneficial owner of for federal income tax purposes for a continuous period of six (6) months during which such VRDP Shares are tendered for Remarketing on each Business Day in accordance with the Related Documents but cannot be successfully remarketed (i.e., a Failed Remarketing Condition-Purchased VRDP Shares shall have occurred and be continuing for such period of time with respect to such VRDP Shares), determined by the Corporation on a first-in, first-out basis, in accordance with and subject to the provisions of the Fee Agreement and these Articles Supplementary.

  • Redemption Notice Date means, with respect to a Redemption, the date on which the Company sends the Redemption Notice for such Redemption pursuant to Section 4.03(F).

  • Selling Period means the period of one to twenty consecutive Trading Days (as determined by the Company in the Company’s sole discretion and specified in the applicable Issuance Notice) following the Trading Day on which an Issuance Notice is delivered or deemed to be delivered pursuant to Section 2.03(b) hereof.

  • Subscription Price has the meaning set forth in Section 2.1.

  • Subscription Start Date means the date specified in the Order Form.

  • Optional Redemption Notice Date shall have the meaning set forth in Section 6(a).

  • VWAP Purchase Share Estimate means the number of shares of Common Stock that the Company has in its sole discretion irrevocably instructed its Transfer Agent to issue to the Buyer via the Depository Trust Company (“DTC”) Fast Automated Securities Transfer Program in connection with a VWAP Purchase Notice pursuant to Section 1(c) hereof and issued to the Buyer’s or its designee’s balance account with DTC through its Deposit Withdrawal At Custodian (DWAC) system on the VWAP Purchase Date (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction).

  • Subscription Settlement Date means the second Valuation Date after the Subscription Trade Date, provided that such Valuation Date is not a Disrupted Day and that such Valuation Date is both a Currency Business Day and a Clearing System Business Day.

  • Put Notice Date means the Trading Day, as set forth below, immediately following the day on which the Investor receives a Put Notice, however a Put Notice shall be deemed delivered on (a) the Trading Day it is received by facsimile or otherwise by the Investor if such notice is received prior to 9:00 am Eastern Time, or (b) the immediately succeeding Trading Day if it is received by facsimile or otherwise after 9:00 am Eastern Time on a Trading Day. No Put Notice may be deemed delivered on a day that is not a Trading Day.

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Pre-Closing Period means any taxable period ending on or before the Closing Date.

  • Optional Redemption Period shall have the meaning set forth in Section 6(a).

  • Redemption Period means the period from, and including, the relevant Redemption Notice Date until the close of business on the second Scheduled Trading Day immediately preceding the related Redemption Date.
