Substitute Goods definition

Substitute Goods means Goods of equivalent price and quality that we may in our absolute discretion supply to fulfil your Order in the event that any ordered Goods are unavailable. Any supply of Substitute Goods will always be subject to your right to cancel your Order and return the Substitute Goods to us at our expense, as set out at clause 6.3.

Substitute Goods means Goods offered by the Supplier as an equivalent alternative to the Goods ordered by the Customer;

• The Authority may accept any Supplementary and/or Substitute Goods and Services Change Proposal signed by an authorised representative of the Supplier at any point in time during its Period of Validity by arranging for the Supplementary and/or Substitute Goods and Services Change Proposal to be signed by an authorised representative of the Authority.

• Each such Supplementary and/or Substitute Goods and Services Change Proposal shall be considered by the Authority.

• The Supplier may only supply and deliver Substitute Goods to the Customer where the Supplier has obtained prior written consent to this effect from the Customer.

• The types of goods which may substitute the goods comprising the Collateral (as a result of circulation or processing of the latter during the term of this Agreement) are specified in the relevant part of Appendix A hereto (the "Substitute Goods").

• For the avoidance of doubt, there shall be no obligation on the Authority to accept any Supplementary and/or Substitute Goods and Services Change Proposal (to include, without limitation, in circumstances where the Authority considers (at its sole discretion) that adding such goods and/or services to the Framework Agreement without further competition would breach any Laws applicable to public procurement.

• All Supplementary and/or Substitute Goods and Services Change Proposals prepared by the Supplier shall be an offer capable of acceptance by the Authority and shall be signed by an authorised representative of the Supplier accordingly.
