Notwithstanding anything in this Agreement to the contrary, for so long as Summit Investments is a Member, its approval of any action or other matter described in this Section 7.1(e) shall be evidenced by a resolution duly adopted by the Board of Managers of Summit Investments.
Each material contract between the Company or a Group Member, on the one hand, and any of the Summit Investments Entities or their respective members, shareholders or partners, as applicable, on the other hand, shall be in writing.
The Company shall, and shall cause each Group Member to, conduct their respective businesses and operations separate and apart from those of any other Person (including the Summit Investments Entities), except as provided in this Section 2.7.
The sale and issuance of the Sponsor Units to Summit Investments and the Incentive Distribution Rights and the General Partner Units to the General Partner are exempt from the registration requirements of the Securities Act and securities laws of any state having jurisdiction with respect thereto, and none of the Partnership Entities has taken or will take any action that would cause the loss of such exemption.
Failure by the Company to comply with any of the obligations set forth above shall not affect the status of the Company as a separate legal entity, with its separate assets and separate liabilities, or restrict or limit the Company from engaging or contracting with the Summit Investments Entities for the provision of services or the purchase or sale of products.
Summit Investments, as the sole member of the Company, deems it advisable to amend and restate that certain limited liability company agreement dated May 7, 2012 (the “Original Agreement”) in its entirety as set forth herein.
Summit Investments is the sole initial Member of the Company as reflected in Exhibit A attached hereto.
Summit Investments hereby grants, contributes, bargains, conveys, assigns, transfers, sets over and delivers to the General Partner, its successors and its assigns, for its and their own use forever, all right, title and interest in and to the GP Contribution Interest, and the General Partner hereby accepts the GP Contribution Interest.
At the time of the formation of the Company, Summit Investments, as the initial Member of the Company, made the Capital Contribution as set forth next to its name on Exhibit A and was issued 100% of the Membership Interests.
For and in consideration of the payment by the Partnership of $980 to Summit Investments as a refund of their initial capital contribution to the Partnership, along with 98.0% of any interest or profit that resulted from the investment or other use of such capital contribution, the Partnership hereby redeems all of the initial limited partner interests of Summit Investments.
