Supplier Hardware definition

Supplier Hardware means the Hardware leased or owned by Supplier that are used by Supplier to provide the Services, including the Hardware set forth in Exhibit 7, and any modification or enhancement of the foregoing.
Supplier Hardware means the hardware and equipment portions of Products. Supplier Hardware shall also include Parts.
Supplier Hardware means all hardware, equipment, physical assets and other tangible items that are used by or on behalf of the Supplier in connection with the provision of the System and/or the Services (including the items identified in paragraph 4.2 of the Core Services Description), but which shall exclude the Company Hardware and the Transferring Hardware;

Examples of Supplier Hardware in a sentence

  • Supplier shall provide the Services to Customer in compliance with, and shall cause all Service Locations, Supplier Software, Developed Supplier Software and Supplier Hardware used to provide the Services to comply with (1) all Supplier Laws and (2) Customer's directions with respect to Customer Laws and any Laws that apply to Customer's clients.

  • The Parties agree that nothing in this Agreement shall operate to transfer ownership of any Supplier Hardware to any of the Users, unless the Parties agree otherwise in writing.

  • The Supplier agrees that, throughout the term of this Agreement, it will make available the Supplier Hardware for use by or on behalf of the Company and the ScottishPower Group Companies (together, the “Users”) to the extent and for the purposes reasonably required by the Users.

  • This clause 7 applies only to the extent the Managed Components consist of Supplier Software or Supplier Hardware.

  • Repair or replacement may be made with new or refurbished Supplier Hardware or component parts (at Supplier’s option) or, if Supplier no longer sells the applicable Supplier Hardware, with similar Hardware of like function.

  • With respect to Supplier-Owned or Leased Assets, upon Customer Party's request, Supplier shall sell to Customer Party or its designee Supplier Hardware used by Supplier primarily for the benefit of Customer to perform the Services as of the effective date of expiration or termination of the applicable Services (and any Termination Assistance Services relating to such Services) free and clear of all liens, security interests or other encumbrances.

  • Before delivering any item of Supplier Hardware to the Site, the Supplier shall procure that the third party manufacturers carry out reasonable tests to ensure that such item is in operable condition and is capable of meeting the requirements of the Technical Specification once properly installed.

  • Supplier shall provide to Client in January of each year of the Term an inventory, effective January 1 in any given year, of all Supplier Hardware located on the Client Sites and utilized by Supplier in the provision of the Services.

  • Supplier Hardware Products from which Supplier's serial numbers have been removed or mutilated.

  • Customer shall bear the costs of access, de-installation, reinstallation and transportation of Supplier Hardware to Supplier and back to Customer.

Related to Supplier Hardware

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Supplier System the information and communications technology system used by the Supplier in performing the Services including any software, the Equipment and related cabling (but excluding the Commissioner System);

  • Supplier Equipment means the Supplier's hardware, computer and telecoms devices, equipment, plant, materials and such other items supplied and used by the Supplier (but not hired, leased or loaned from the Customer) in the performance of its obligations under this Call Off Contract;

  • Third Party Hardware means the third party hardware, if any, identified in the Investment Summary.

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.
