Supplier Proprietary Information definition

Supplier Proprietary Information means Information, including but not limited to, technology, processes or other proprietary property, including trade secrets, know-how, mask work rights, patent applications, pricing information, cost information, performance metrics relating to the manufacture of Products or relating to the operation of Supplier’s facilities and any other non-public information in any form or medium developed or acquired by Supplier, its Affiliates or its licensors other than Company, but for greater certainty, does not include the following: (i) Company Proprietary Information; and (ii) the Specifications;
Supplier Proprietary Information means the Supplier technical information listed on Attachment D and other information which (1) relates to Supplier's manufacturing processes or business financial data or business plans, and (2) is disclosed to AEG or SmarTire by Supplier or any employee, agent or independent contractor retained by Supplier during the fulfillment of this Agreement. The datasheet for any Product developed under this Agreement and any information on such datasheet will be not be Supplier Proprietary Information.
Supplier Proprietary Information means the Supplier’s market schedules from the System Operator, dispatch instructions, real-time unit status updates, day ahead and real-time offers to the IESO-Administered Markets, “Notices of Disagreement”, data provided in response to compliance investigations, utilization of or strategy for energy limited fuel as discussed with the System Operator, and any other data or information from time to time provided to the System Operator which the Parties agree to treat as Supplier Proprietary Information.

Examples of Supplier Proprietary Information in a sentence

  • Distributor agrees that all inventions, know-how and ideas it obtains from Supplier and all other business, technical and financial information it obtains from Supplier are the confidential property of Supplier ("Proprietary Information").

  • In the case of Supplier, Proprietary Information shall include financial information, account information, information regarding Supplier’s business plans and operations, and proprietary software, tools and methodologies owned by Supplier and used in the performance of the Services.

  • Kraft shall protect such Supplier Proprietary Information in the same manner as if received directly from Supplier.

  • The identity of such prospective Supplier customers and all information related thereto shall be considered Supplier Proprietary Information.

  • In addition, Kraft shall have the right at any time to disclose to and to receive from GroceryCo and the Eligible Recipients (as defined under the GroceryCo MPSA), without obligation to notify or obtain the consent of Supplier, any Supplier Proprietary Information disclosed by Supplier in connection with this Agreement or the GroceryCo MPSA prior to the GroceryCo Start Date.

  • The Supplier agrees to provide to the Buyer, upon request, access to any other information relating to the Facility that the Supplier has provided to, or received from, the System Operator from time to time, other than Supplier Proprietary Information.

  • The datasheet for any Product developed under this Agreement and any information on such datasheet will be not be Supplier Proprietary Information.

  • Company shall treat as confidential and shall not disclose any Supplier Proprietary Information without Supplier’s prior written consent, not to be unreasonably withheld.

  • Supplier Proprietary Information" means the Supplier technical information listed on Attachment D and other information which (1) relates to Supplier's manufacturing processes or business financial data or business plans, and (2) is disclosed to AEG or SmarTire by Supplier or any employee, agent or independent contractor retained by Supplier during the fulfillment of this Agreement.

  • In the case of Supplier, Proprietary Information shall include financial information, account information, information regarding Supplier’s business plans and operations (including information relating to Supplier’s relationships with its customers, employees and contractors), and proprietary software, tools and methodologies owned by Supplier and used in the performance of the Services.
