The Employer, the Contractor and the subcontractor or Supply Chain Member shall execute the Additional Party Agreement as soon as practicable following the appointment of any such additional subcontractors or Supply Chain Members.
If any subcontractor informs the Contractor that it (or any Supply Chain Member) does not wish to participate in the Project Bank Account arrangements then the Contractor shall require the subcontractor to provide in writing its, or the Supply Chain Member’s, reasons for non-participation.
The Contractor shall also incorporate into sub- contracts with its subcontractors (and use its best endeavours to ensure that all Supply Chain Member subcontracts contain a similar provision) a provision in similar terms to those set out in clause 7 below which informs the subcontractors and Supply Chain Members of the grounds on which they may not be permitted to participate in the Project Bank Account arrangements.
Subject to clause 8, the Contractor, acting reasonably, may decide that it is not appropriate or reasonable in all the circumstances for a subcontractor or Supply Chain Member to participate in the Project Bank Account arrangements.
The Contractor shall incorporate into sub-contracts with its subcontractors provisions in similar terms to those set out in clause 2 above (and shall use its best endeavours to ensure that all Supply Chain Member subcontracts contain similar provisions) subject only to modification to refer to the correct designation of the equivalent party as the sub-contractor or Supply Chain Member as the case may be.
The Contractor shall inform the Employer if a subcontractor or Supply Chain Member is to be added to the Named Subcontractors.
Following expiry of the Tender Validity Period, hubco or the relevant Supply Chain Member or proposed Supply Chain Member shall (subject to the provisions of this paragraph5.2.4) determine which Tenderer (the " Preferred Tenderer") offers the Compliant Tender in respect of any Market Tested Element, group of Market Tested Elements or individual part of any Market Tested Element, that represents (as the case may be) the best value for money for the Relevant Participant(s).
Subject to Clause 59(8), the Contractor, acting reasonably, may decide that it is not appropriate or reasonable in all the circumstances for a subcontractor or Supply Chain Member to participate in the Project Bank Account arrangements.
Should any Partner or any Supply Chain Member appointed by it fail to comply with this clause 29, the MoJ may terminate the relevant Partner's appointment under this Agreement.
