Supply Rights definition

Supply Rights means the rights described in this Section 2.1(a).

Examples of Supply Rights in a sentence

  • SCO Supplier agrees to use any customer information provided to SCO Supplier by Columbia pursuant to SCO Supplier’s participation in the SCO Program solely for the purpose of SCO Supplier’s performance of its obliga- tions pursuant to this Agreement and for the purpose of soliciting its SCO Customers served pursuant to its SCO Supply Rights to SCO Supplier’s products offered by SCO Supplier.

  • If, notwithstanding such commercially reasonable efforts, Alstom is not granted the Preferred Supply Rights, BSE’s obligations under this Agreement shall not apply to such Project.

  • The maximum increase in the share of the SCO Supply Rights originally awarded each non-defaulting SCO Supplier shall be 50%, i.e., a non-defaulting supplier shall only be obligated to serve at most the equivalent of 1.5 times the SCO Supply Rights it was originally awarded in the Auction.

  • The following provisions of the Supply Agreement are incorporated herein by reference and shall apply to this Agreement in the same manner as which they apply to the Supply Agreement: Sections 2.4 (Second Manufacturing Source(s)), 2.5 (Global Manufacturing Plan), 7.1 (Transfer Pricing), 8.1 (Allocation in the Event of Shortages) and 11.6 (Back-up Supply Rights of Chiron).

  • BSE’s obligations to grant the Preferred Supply Rights to Alstom under this Agreement shall apply until the Exclusive Project Limit has been reached.

  • If BSE for any reason does not have responsibility for designating the supplier of any piece of Other Specified Equipment, it shall use its commercially reasonable efforts to have the party with such responsibility grant Alstom the Preferred Supply Rights with respect to any such piece of Other Specified Equipment.

  • Non-defaulting Suppliers may voluntarily provide more than 1.5 times the SCO Supply Rights originally awarded by the Auction, subject to CenterPoint approval.

  • AWS will have non-exclusive Manufacturing and Supply Rights to the hardware and the exclusive rights to the software for the Product and will sell its development rights in the design to IRS.

  • For the sake of clarity, except (i) upon termination or expiration of this Agreement, (ii) pursuant to the Back-Up Supply Rights to the extent not prohibited by Section 2.7, or (iii) as otherwise explicitly provided in this Agreement or License Agreement, neither Toyama nor any Sublicensee shall have any right under this Agreement or the License Agreement to manufacture or have manufactured any Compound, Permitted Derivative, or Clinical Supply.

  • The Exhibitor must not engage in ambush marketing of the products or services of any other exhibitor at the Show or any sponsor of the Show or RASV (see Schedule 2 Exclusive Supply Rights).

  • Technology Rights means BOARD's rights in any technical information, know-how, processes, procedures, compositions, devices, methods, formulae, protocols, techniques, software, designs, drawings or data created by the inventor(s) listed in Exhibit I at UTMDACC before the EFFECTIVE DATE, which are not claimed in PATENT RIGHTS but that are necessary for practicing PATENT RIGHTS.

  • Licensed Intellectual Property Rights means all Intellectual Property Rights owned by a third party and licensed or sublicensed to either the Company or any of its Subsidiaries.

  • Joint Intellectual Property Rights means any work under the Subcontract, which:

  • Background Intellectual Property Rights means Intellectual Property Rights owned, controlled or furnished by either Party other than Foreground Intellectual Property Rights.

  • Licensed IP Rights means, collectively, the Licensed Patent Rights and the Licensed Know-How Rights.
