Supply Transition Plan definition

Supply Transition Plan has the meaning ascribed to that term in Section 6.5.1.

  • Without limiting the foregoing, the Supply Transition Plan shall include the provision to Xanodyne of all XenoPort Know-How necessary for the manufacture of the Intermediate and/or Compound in accordance with the licenses granted to Xanodyne under this Agreement.

  • Each Party shall use its Commercially Reasonable Efforts to implement the Supply Transition Plan and to effect the transfer of such manufacturing responsibilities to GSK in an orderly manner.

  • Without limiting the foregoing, Amicus shall deliver to GSK in accordance with the Supply Transition Plan, all information Controlled by Amicus (including such information generated by Amicus’s Third Party manufacturer(s)) as is reasonably necessary or useful for GSK or its Affiliates or its Third Party manufacturer, to commence Manufacturing Compound or Product following the Supply Transition Date.

  • If such terminated Scheduled Employee was critical to the performance of either the Manufacturing and Supply Transition Plan or the IT Transition Plan, then the Sellers will temporarily reassign such identified existing employee to replace the terminated Scheduled Employee for the remainder of the applicable Employment Term.

  • The Supply Transition Plan shall provide for reasonable assistance to establish and validate the Manufacture and supply process at a location designated by Amicus, or by GSK, as applicable.

Related to Supply Transition Plan

  • Transition Plan means a transition plan, acceptable to the LHIN that indicates how the needs of the HSP’s clients will be met following the termination of this Agreement and how the transition of the clients to new service providers will be effected in a timely manner; and

  • Supply Plan has the meaning set forth in the CAISO Tariff.

  • Long Term Supply Assignment means, in relation to an employee,
