Support and Upgrade Services definition

Support and Upgrade Services means the services to be provided by RaySearch in accordance with the “Support and Upgrade Agreement”, as attached to the Quotation.
Support and Upgrade Services means the services to be provided in accordance with the “RayStation Support and Upgrade Agreement”, if any, as attached to the Quotation or, as applicable, provided by Distributor or RaySearch in a separate support quotation referring to this License Agreement.
Support and Upgrade Services means the services to be provided by RaySearch in accordance with the “RayStation Support and Upgrade Agreement” and/or the “RayCare Support and Upgrade Agreement”, as attached to the Quotation or, as applicable, provided by RaySearch in a separate support quotation referring to this License Agreement. Delivery/Installation. Delivery. RaySearch shall deliver and install the Software in accordance with the Quotation. Installation. Installation services are provided either on-site or remotely. RaySearch expects and assumes that activities such as unboxing, mounting hardware into a rack, connecting to network and domains and other peripheral activities have already been completed by Clinic at the time of installation. Installation Acceptance. Clinic shall within 30 calendar days from the completion of the installation of the RayStation Software and/or the RayCare Software respectively (as applicable) provide RaySearch with a signed Installation Acceptance Form, whereby Clinic confirms that the relevant Software has been delivered and installed according to the License Agreement. If the Installation Acceptance Form has not been signed within 30 calendar days, the installation shall be deemed completed and accepted unless Clinic, in writing, has raised justified complaint in respect of the installation. Until the Installation Acceptance Form has been signed, the Software may not be used clinically with patients and any clinical use of the Software shall be equated to Installation Acceptance. Instructions for Use. Instructions for Use and Release Notes are delivered electronically as pdf document per default. Clinic may order printed copies free of charge at any time. Beam Modeling. Beam modeling services, if provided in accordance with the Quotation, include the creation of beam models using beam data measured and processed by Clinic according to specifications provided by Clinic. Clinic has the sole responsibility for validating and verifying a beam model before commissioning it for final use.

Examples of Support and Upgrade Services in a sentence

  • RaySearch agrees to handle any information disclosed by Clinic in accordance with the foregoing only for the purposes of providing Clinic installation, training and/or the Support and Upgrade Services, as applicable, and as instructed by Clinic in a separate written data processing agreement entered into between the Parties on reasonable terms and conditions.

  • To conduct required installation, training, demonstration and/or Support and Upgrade Services, Clinic’s patient information may however, in limited circumstances be disclosed to RaySearch.

  • In addition, Clinic acknowledges and agrees that RaySearch shall be entitled to retain any patient information and data derived from such information as required for the purposes of remedying erroneous behavior in the Software and/or for complying with patient safety regulatory requirements, also after the completion of the Support and Upgrade Services.

  • For the Support and Upgrade Services, Clinic shall pay an annual Service Fee to RaySearch in accordance with the Quotation.

  • Distributor agrees to handle any information disclosed by End Customer in accordance with the foregoing only for the purposes of providing End Customer installation, training, demonstration and/or the Support and Upgrade Services.

  • End Customer acknowledges and agrees that Distributor and/or RaySearch shall be entitled to retain any patient information and data derived from such information as required for the purposes of remedying erroneous behavior in the Software and/or for complying with patient safety regulatory requirements, also after the completion of the Support and Upgrade Services.

  • It is estimated that the minimum duration of the assignment shall be for a period of 36 months for Consultancy Services for Support and Upgrade Services for Oracle E- Business Suite (EBS).

  • Reseller shall order copies of the Software, annual User Support and Upgrade Services, and other WorkWise products and services directly from WorkWise using an agreed upon method.

  • Subject to Clinic’s timely payment of the Service Fee, Distributor and/or RaySearch shall provide to Clinic the Support and Upgrade Services as described in the Support and Upgrade Agreement.

  • For the Support and Upgrade Services, Clinic shall pay an annual Service Fee in accordance with the Quotation.

Related to Support and Upgrade Services

  • Support and Maintenance Services means the support and maintenance services described in Section 1 of these Support Terms.

  • Support Services means support in relation to the use of, and the identification and resolution of errors in, the Hosted Services, but shall not include the provision of training services;

  • Software means any computer software programs, including all source code, object code, and documentation related thereto and all software modules, tools and databases.

  • Customer Systems means the Customer's information technology infrastructure, including computers, software, hardware, databases, electronic systems (including database management systems) and networks, whether operated directly by Customer or through the use of third-party services.

  • Airport Ground Support Equipment means vehicles and equipment used at an airport to service aircraft between flights.

  • Software Upgrade means a release of Software, in object code form, or firmware, which adds new functionality and feature enhancements to the Software or Equipment. Kodak software releases that are designated as Software Upgrade will be identified A.B.x where the A &B designates the release as a Software Upgrade.

  • Satellite services means communications capabilities that utilize an on-orbit satellite for transmitting the signal from one location to another.

  • Customer Agreement means a written agreement entered into between Provider and any Customer pursuant to which a Customer orders BPO Services from Provider.

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Technical Support Services means the technical support and maintenance Services provided by us according to our then-current technical support policy and procedure listed at xxxxxxxxxxxxx.xxx (“Technical Support Policy”) when the Services are purchased.

  • Maintenance and Support Services means the services provided by Contractor under Appendix F.

  • Service Level Agreements means an agreement between NZX and a Market Participant and/or an Advisor setting out the terms and conditions of use of NZX technology and services;

  • Data Processing Equipment means any equipment, computer hardware, or computer software (and the lease or licensing agreements related thereto) other than Personal Computers, owned or leased by the Failed Bank at Bank Closing, which is, was, or could have been used by the Failed Bank in connection with data processing activities.

  • Construction Phase Services means the coordination, implementation and execution of the Work required by this Agreement, which are further defined in Article 8.

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Customer Software means software which is owned by or licensed to the Customer, including Specially Written Software and Assigned Software and software which is or will be used by the Supplier for the purposes of providing the Services but excluding the Supplier Software;

  • Software Services means services that Customer provides to you that make available, display, run, access, or otherwise interact, directly or indirectly, with the Products. Customer must provide these services from data center(s) through the Internet, a telephone network or a private network, on a rental, subscription or services basis, whether or not Customer receives a fee. Software Services exclude any services involving installation of a Product directly on any End User device to permit an End User to interact with the Product.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.
