Upon termination of this Agreement for any reason, the Company shall on the later to occur of (i) one (1) Business Day following the date of such termination or (ii) one (1) Business Day following receipt of an invoice or invoices containing the Supporting Noteholder Fees and Expenses, pay to the Supporting Noteholders, by wire transfer of immediately available funds, all outstanding Supporting Noteholder Fees and Expenses.
