Suspended Services means, with respect to each instance in which a Service is suspended pursuant to Section 14, Article III, subsections (a) and (b), [***].

Suspended Services any Services that are temporarily suspended pursuant to clause 10 “Term” the period from the Effective Date to the Termination Date “Termination Date” the date on which this Agreement is terminated or expires “Termination Fee” (a) where the Agreement or relevant Service is terminated before the Initial Term, the sum of (i) the costs incurred or payable, or yet to be incurred or become payable, by the Supplier in relation to that Service; (ii) the costs incurred by, or payable to, any Third Party Services Provider in relation to that Service; and (iii) any additional amounts specified in the Supplier’s Standard Charges Document or in any Service Description or Services Specific Schedule to be payable in relation to the relevant Service(s) on termination prior to the Initial Term (b) where the Agreement or relevant Service is terminated during or after the Initial Term, the sum of (i) the amount (if any) that the total Charges paid or otherwise payable under this Agreement in relation to the relevant Service(s) as at the Termination Date are below the relevant Termination Fee Threshold; and (ii) any amount paid or payable by the Supplier to Third Party Services Providers in respect of uncancellable Third Party Services procured specifically on behalf of the Customer in relation to the relevant Service(s) where the relevant costs have not been recovered from the Customer as at the Termination Date “Termination Fee Threshold” the minimum amount of Charges for the Services supplied during the Initial Term which will avoid certain Termination Fees becoming payable, being either: (i) the “Termination Fee Threshold” amount specified in the Order Form; or (ii) where no such amount is specified in the Order Form, a sum of money calculated in accordance with the relevant Service Description or Services Specific Schedule

Examples of Suspended Services in a sentence

The suspension of the Suspended Services will take effect from the date and time specified in the relevant Suspension Notice (the “Suspension Period”).
If the Supplier is able to remedy the relevant Intervention Event and/or to successfully put in place arrangements to ensure that it does not recur, then the Supplier may serve written notice (a “Resumption Notice”) on the Customer requesting that the Supplier resume provision of the Suspended Services.
During any Suspension Period the Customer will not be obliged to make any payments to the Supplier in respect of the Suspended Services.
During the Suspension Period: the Supplier will cease to perform the Suspended Services, but will continue to provide all other Services (if the Suspended Services are only part of the Services); and the Customer may elect to perform the Suspended Services itself or to receive them from a third party (or through a combination of two or more such entities).
The Supplier will provide the Customer with all information that the Customer reasonably requires in order to verify that the Supplier will be able to provide the Suspended Services to the Customer’s reasonable satisfaction and ensure proper and sustained compliance with all service levels and other provisions set out in this Agreement.
If the Customer is satisfied that the Supplier will be able to provide all of the Suspended Services to the Customer’s satisfaction, the Customer will serve not less than 10 Working Days’ notice (a “Confirmation Notice”) requiring the Supplier to resume provision of such Services on the date and at the time specified in such Confirmation Notice and the Supplier will resume provision of the Suspended Services from such date and time.
