Sustainability Agents means, collectively, Citibank, N.A. and Bank of America, N.A., as selected by the Borrower to act as a sustainability agent in respect of the credit facilities established hereunder.

Examples of Sustainability Agents in a sentence

  • The rights and remedies of the Administrative Agent, the Sustainability Agents, the Issuing Banks and the Lenders hereunder are cumulative and are not exclusive of any rights or remedies that they would otherwise have.

  • Such request shall be accompanied by the proposed Sustainability Targets, as prepared by the Borrower in consultation with the Sustainability Agents.

  • Each of the Administrative Agent and the Sustainability Agents may consult with legal counsel (who may be counsel for the Loan Parties), independent accountants and other experts selected by it, and shall not be liable for any action taken or not taken by it in accordance with the advice of any such counsel, accountants or experts.

  • The Arrangers, the Syndication Agents, the Sustainability Agents and the Documentation Agent.

  • The Administrative Agent, the Sustainability Agents and any such sub-agent may perform any and all of its duties and exercise its rights and powers by or through their respective Related Parties.

  • Each of the Administrative Agent and the Sustainability Agents shall be entitled to rely upon, and shall not incur any liability for relying upon, any notice, request, certificate, consent, statement, instrument, document or other writing (including any electronic message, Internet or intranet website posting or other distribution) believed by it to be genuine and to have been signed, sent or otherwise authenticated by the proper Person.
