SVB Loan Documents definition

SVB Loan Documents means that certain Loan and Security Agreement, dated July 26, 2011, by and between Silicon Valley Bank and Borrower, and the documents, instruments, and agreements executed in conjunction therewith, as each may be amended prior to the Closing Date. SWK has the meaning set forth in the Preamble.

SVB Loan Documents means the Loan Documents (as defined in the SVB Loan Agreement).

SVB Loan Documents shall have the meaning set forth in the Recitals.

Examples of SVB Loan Documents in a sentence

• The total amount of the borrowings outstanding under the SVB Loan Documents is $0.

• Borrower shall not request or accept any advances, credit extensions or otherwise make any borrowings under the SVB Loan Documents and shall ensure, at all times, that the total outstanding borrowing balance thereunder remains at $0.

• Such security interest constitutes a valid security interest in the presently existing Collateral, and will constitute a valid security interest in later-acquired Collateral, in each case, having priority over all other Liens other than Liens granted to Silicon Valley Bank in connection with the SVB Loan Documents prior to the date hereof.

• The PFG Loan and Security Agreement together with all other documents, instruments and writings which relate to the PFG Loan and Security Agreement are collectively referred to herein as the “PFG Loan Documents” and together with the SVB Loan Documents, the “Loan Documents”.

• The Prepetition Lender shall not be required to file proofs of claim in the Chapter 11 Case or any successor cases in order to maintain its claims for payment of the obligations under the SVB Loan Documents.

More Definitions of SVB Loan Documents

SVB Loan Documents means that certain Accounts Receivable Purchase Agreement, dated as of April 19, 2002, by and between Borrower and Silicon Valley Bank, and all documents and agreements executed in connection therewith.

SVB Loan Documents means the SVB Credit Agreement and all other agreements and documents entered into in connection therewith.

SVB Loan Documents means the Senior Loan and Security Agreement and the Subordinated Loan and Security Agreement providing for the making of the Silicon Valley Bank Indebtedness, and all other documents or instruments evidencing or securing same or issued or entered into in connection therewith, as same may be amended, modified, restated, renewed or extended from time to time.

SVB Loan Documents are the Loan Documents (as such term is defined in the SVB Agreement). “Taxes” are all present or future taxes, levies, imposts, duties, deductions, withholdings (including backup withholding), assessments, fees or other charges imposed by any Governmental Authority, including any interest, additions to tax or penalties applicable thereto.

SVB Loan Documents means each of the following Contracts: (i) that certain Loan and Security Agreement by and among Silicon Valley Bank and Seller dated as of July 3, 2008, as amended by that certain Amendment No. 1 dated as of December 18, 2008 and as further amended by that certain Amendment No. 2 dated the date hereof (the “SVB Amendment No. 2”), (ii) that certain Unconditional Guaranty and Security Agreement by and among the Company and Silicon Valley Bank dated as of July 3, 2008, and (iii) that certain Uncertificated Security Control Agreement by and among Seller, the Company and Silicon Valley Bank dated as of July 3, 2008.

SVB Loan Documents means the Loan and Security Agreement, dated as of April 23, 2008, by and between Silicon Valley Bank, Axcelis and certain subsidiaries or

SVB Loan Documents means the agreements and documents listed in items 1.a through 1.i of Section 3.13(c) of the Disclosure Schedule and all other agreements, documents and instruments executed in connection with SVB Loan.
