SVOD Service definition

SVOD Service means the Subscription Video-On-Demand programming service branded “Netflix” (or successor brand) at all times during the Term, 100% owned and operated by Licensee, and made available via Approved Delivery only to Registered Users in the Territory to Approved Devices (for exhibition on each such Approved Device’s associated video monitor in a format designed for viewing on such video monitor); provided that non-Registered Users may access certain limited portions of the SVOD Service, such as Clips, Promotional Previews, box art and synopses, it being acknowledged and agreed that non-Registered Users may not playback Included Programs from the SVOD Service.
SVOD Service means the SVOD programming service (and, for clarification, not the lower tiered SVOD service which will be offered at a lower price or for free by Licensee or the Authorized Operators) in the Territory, which is (a) wholly owned, controlled and operated by Licensee or the applicable Authorized Operator set forth in Schedule D, (b) branded “NEON,” “Claro Video” or such other applicable brand name set forth on Schedule D (or, provided that Licensee gives Licensor prior written notice thereof, a successor brand of any of the foregoing), and (c) accessible on (i) an Approved Personal Computer at the URLs set forth on Schedule D, or such additional or subsequent URLs as may be notified by Licensee to Licensor in writing from time-to-time, (ii) an Approved Connected Device (other than an Approved Personal Computer) through an embedded Playback Application, and (iii) an Approved Set-Top Box via an Authorized System. Except as permitted in Section 7 below, or Section 2.3.4 of Schedule A and Section 12.8 of Schedule A herein, the SVOD Service shall be non-advertiser supported and may not be sub-distributed, co-branded, syndicated, “white labeled” or “powered” (e.g., “Yahoo! Video powered by Claro Video”).
SVOD Service means the SVOD programming service in the Territory, which is (a) wholly owned and controlled by Licensee, and operated by Licensee and/or Ooyala Inc or Licensee’s developer Ooyala Inc.,chosen technology provider whose´s solution has been pre-approved by Licensor, (b) branded “CinepolisCinépolis Klic”, and (c) accessible on an Approved Device at the URL: xxx.xxxxxxxxxxxxx.xxx.xxx.xxxxxxxxxxxxx.xxx. Except as otherwise permitted herein, the SVOD Service shall be non-advertiser supported and may not be sub-distributed, co-branded, syndicated, “white labeled” or “powered” (e.g., “Yahoo! Video powered by Cinepolis Klic”). Licensee represents and warrants that content of similar quality and volume from at least two (2) other Major Studios shall be on the SVOD Service throughout the VOD/SVOD Avail Term.

  • Such third parties may also offer interactive features, such as chat functionality or other communication features, that overlay the SVOD Service but are not initiated by Licensee.

  • Without limiting the generality of the foregoing, no Included Program shall be exhibited to any person other than a Registered User within the Territory as part of the SVOD Service in the medium of Subscription Video-On-Demand, or transmitted other than by Approved Delivery in an Approved Format to Approved Devices for Personal Use.

  • Registered Users must have an active User Account prior to viewing an Included Program on the SVOD Service.

  • Licensor reserves the right to conduct an initial inspection of and approve the picture quality and user experience of the SVOD Service within sixty (60) days of the Launch Date.

  • By way of example only, the SVOD Service may be offered through a game console such as the Sony PlayStation 3 or Microsoft Xbox, wherein access to the SVOD Service by Registered Users through such Approved Device requires the payment of a Third Party Fee to Sony Corporation of America or Microsoft Corporation (in addition to subscription fees billed by Licensee) for access to the SVOD Service or a tier of or bundled service that includes the SVOD Service.

  • Licensor shall have the right to suspend the availability (“Suspension”) of the Included Programs on the SVOD Service at any time during the Avail Term in the event of a Security Breach or Territorial Breach by delivering a notice to Licensee of such suspension (“Suspension Notice”).

  • As soon as practicable after the delivery of a Reinstatement Notice to Licensee, Licensee may include the Included Programs on the SVOD Service.
