Swap Unwind Amount definition

Swap Unwind Amount means the amount resulting from unwinding swaps or hedging transactions entered into by the Issuer in connection with the Securities, in particular currency hedging transactions, inflation hedging transactions, interest rate swaps or asset swaps, including transaction costs, funding break costs and any prepay- ment indemnity incurred in connection with such early redemption.
Swap Unwind Amount means the amount resulting from unwinding swaps or hedging trans- actions entered into by the Issuer in connection with the Securities, in particular currency hedg- ing transactions, inflation hedging transactions, interest rate swaps or asset swaps, including transaction costs and any prepayment indemnity incurred in connection with such early re- demption.
Swap Unwind Amount means such amount as is notified by the Bank to the Borrower and agreed to be paid by the Borrower. If such notified amount is disputed, the Swap Unwind Amount shall be established by the Bank requesting three Eligible Swap Counterparties to quote a price for the Bank to enter into an Unwinding Swap and the Swap Unwind Amount shall be determined as follows: (i) it three quotations are provided, the Swap Unwind Amount shall be the arithmetic mean of the quotations received. , The Bank shall disclose to the Borrower the price quotations received from the Eligible Swap Counterparties but shall not be obliged to disclose the identity of such Eligible Swap Counterparties. If fewer than three quotations are obtained from Eligible Swap Counterparties, the Swap Unwind Amount shall be determined as the amount calculated by the Bank in good faith as constituting the costs and losses incurred (or, as the case may be, gains realised) by the Bank in connection with the unwinding of its hedging arrangements in relation to the relevant BRL-Linked Tranche.

Related to Swap Unwind Amount

  • Daily Settlement Amount for each of the 40 consecutive Trading Days during the Observation Period, shall consist of:

  • Cash Settlement Amount means the “Cash Settlement Amount” as determined by the Calculation Agent in accordance with Paragraph 6.

  • Swap Termination Value means, in respect of any one or more Swap Contracts, after taking into account the effect of any legally enforceable netting agreement relating to such Swap Contracts, (a) for any date on or after the date such Swap Contracts have been closed out and termination value(s) determined in accordance therewith, such termination value(s), and (b) for any date prior to the date referenced in clause (a), the amount(s) determined as the ▇▇▇▇-to-market value(s) for such Swap Contracts, as determined based upon one or more mid-market or other readily available quotations provided by any recognized dealer in such Swap Contracts (which may include a Lender or any Affiliate of a Lender).

  • Fixed Swap Payment With respect to any Distribution Date, a fixed amount equal to the related amount set forth in the Interest Rate Swap Agreement.

  • Transaction Amount means the aggregate value of all of the issued and outstanding REIT Shares using a per share value equal to the per share value paid to the Stockholders in an Extraordinary Transaction. Transfer has the meaning set forth in Section 9.2(a) hereof. Value means, with respect to REIT Shares, the average of the daily market price of such REIT Share for the ten (10) consecutive trading days immediately preceding the date of such valuation. The market price for each such trading day shall be: (i) if the REIT Shares are Listed, the sale price, regular way, on such day, or if no such sale takes place on such day, the average of the closing bid and asked prices, regular way, on such day; (ii) if the REIT Shares are not Listed, the last reported sale price on such day or, if no sale takes place on such day, the average of the closing bid and asked prices on such day, as reported by a reliable quotation source designated by the General Partner; or (iii) if the REIT Shares are not Listed and no such last reported sale price or closing bid and asked prices are available, the average of the reported high bid and low asked prices on such day, as reported by a reliable quotation source designated by the General Partner, or if there shall be no bid and asked prices on such day, the average of the high bid and low asked prices, as so reported, on the most recent day (not more than ten (10) days prior to the date in question) for which prices have been so reported; provided that if there are no bid and asked prices reported during the ten (10) days prior to the date in question, the value of the REIT Shares shall be determined by the General Partner acting in good faith on the basis of such quotations and other information as it considers, in its reasonable judgment, appropriate. In the event the REIT Shares Amount includes rights that a holder of REIT Shares would be entitled to receive, then the value of such rights shall be determined by the General Partner acting in good faith on the basis of such quotations and other information as it considers, in its reasonable judgment, appropriate.
