Swiss Borrower definition

Swiss Borrower means a Borrower incorporated in Switzerland and/or having its registered office in Switzerland and/or qualifying as a Swiss resident pursuant to Art. 9 of the Swiss Federal Withholding Tax Act.

Swiss Borrower shall have the meaning given to such term in the opening paragraph of this Agreement;

Swiss Borrower means any Swiss Subsidiary that has been designated as such pursuant to Section 2.20 and that has not ceased to be a Swiss Borrower as provided in such Section.

• Each Swiss Borrower shall provide to the Administrative Agent the documents required by law or applicable double taxation treaties for the Lenders to claim a refund of any Swiss Withholding Tax so deducted.

• Each Swiss Borrower shall have Debt owing to no more than twenty (20) lenders that are not Qualifying Banks, including for the purposes of this Section 5.10 any such Debt owing to Affiliates of such Swiss Borrower.

• Each Swiss Borrower shall ensure at any time that it is in compliance with the Swiss Non-Bank Rules.

More Definitions of Swiss Borrower

Swiss Borrower means a Borrower incorporated, or for tax purposes resident, in Switzerland.
