UK Borrower definition

UK Borrower means any Borrower (i) that is organized or formed under the laws of the United Kingdom or (ii) payments from which under this Agreement or any other Loan Document are subject to withholding Taxes imposed by the laws of the United Kingdom.
UK Borrower means the Original Borrower and any Borrower which is resident in the United Kingdom for tax purposes.
UK Borrower means any Borrower that is incorporated in the United Kingdom.

  • At all times since its formation, each Borrower (other than the UK Borrower) has been either a “disregarded entity” or a “partnership” for U.S. federal, state and local income and franchise tax purposes.
