When a Venture Sub offers interests in a Target Property for sale through a private placement memorandum, the related Syndication Costs (as may be revised from time to time prior to the publication of the final private placement memorandum by IREX) will be published in the private placement memorandum.
Pursuant to the Commitment Letter, the Lead Banks (as defined in the Commitment Letter) committed to provide the amount of $149,000,000 (the “Committed Amount”) of the Additional Term Loan Facilities (as defined in the Commitment Letter) to fund Syndication Costs (as defined in the Commitment Letter).
