System Restaurant definition

System Restaurant means any restaurant or other commercial establishment offering food and beverage items at retail that is directly or indirectly owned or operated by (i) The Wendy’s Company or any of its current or future Affiliates, (ii) any other Person pursuant to or in connection with any franchise agreement or similar agreement with The Wendy’s Company or any of its current or future Affiliates or (iii) any joint venture, partnership or similar arrangement in which The Wendy’s Company or any of its current or future Affiliates participates.
System Restaurant means a family-oriented pizza restaurant that is established and operated utilizing the System, the Proprietary Marks and the Animated Entertainment either in accordance with the terms and conditions of a franchise agreement or by Franchisor.

Examples of System Restaurant in a sentence

  • If a Cooperative has been established for the geographic area in which the Franchised Restaurant is located at the time a System Restaurant (as defined in the Franchise Agreement) commences business hereunder, the operator of such System Restaurant (franchisee, Franchisor (or any of its affiliates) shall immediately become a member of such Cooperative not later than thirty (30) days after the date on which the Cooperative commences operation, as provided below.

  • If the System Restaurant is within the geographic area of more than one Cooperative, the franchisee shall be required to be a member of only one such Cooperative as designated by Franchisor.

  • The failure to pay any cooperative fee for any System Restaurant when due hereunder shall constitute a default by the Member and shall result in the suspension of the right of the Member to receive any advertising and promotional materials and services provided by the Cooperative, the suspension of the right to participate in any advertising and marketing activities conducted by the Cooperative and in the suspension of voting rights with respect to the Cooperative.

  • We may exclude from the Assets purchased in accordance with this Section any equipment, vehicles, furnishings, fixtures, signs, and inventory that are not approved as meeting then-current standards for a System Restaurant or for which Area Operator cannot deliver a xxxx of sale in a form satisfactory to us.

  • Each Member shall be entitled to one (1) vote, in person, by written consent, or by proxy, for each System Restaurant operated by the Member that is located in the DMA.

  • Each System Restaurant operated by Operator shall participate in the Co-op or Co-ops designated by Company.

  • From time to time, Operator's System Restaurant may need a cosmetic improvement or equipment change or addition in order to comply with the Manuals and/or to maintain proper operations and an aesthetic appearance and professional image.

  • Cessation of the business shall not constitute a default under this Agreement if caused by condemnation, expiration of a Location lease pursuant to its terms at execution, natural, governmental or supplier related causes out of Operator's control, or when failure to rebuild following destruction of the System Restaurant is prohibited by law or the Location lease.

  • The mandatory and optional menu items that we designate must/may be promoted, offered and sold from each kind of Store Model and System Restaurant which are generally essential components of the System and shall be specified by Franchisor in its sole discretion, from time to time, in its Manuals.

  • Franchisee's records will accurately reflect all details relating to the business done at each System Restaurant.

  • Restaurant means a business location:

  • system user means a natural or legal person supplying to, or being supplied by, a transmission or distribution system;

  • Restaurants means a business that prepares and serves food and drinks to customers.

  • Record system means any group of records under the control of the division from which a record may be retrieved by a personal identifier such as the name of an individual, number, symbol, or other unique retriever assigned to an individual.

  • Retail Marijuana means all parts of the plant of the genus cannabis whether growing or not, the seeds thereof, the resin extracted from any part of the plant, and every compound, manufacture, salt, derivative, mixture, or preparation of the plant, its seeds, or its resin, including but not limited to Retail Marijuana Concentrate, that is cultivated, manufactured, distributed, or sold by a licensed Retail Marijuana Business. “Retail Marijuana” does not include industrial hemp, nor does it include fiber produced from stalks, oil, or cake made from the seeds of the plant, sterilized seed of the plant which is incapable of germination, or the weight of any other Ingredient combined with marijuana to prepare topical or oral administrations, food, drink, or other product. If the context requires, Retail Marijuana includes Retail Marijuana Concentrate and Retail Marijuana Product.

  • Resort Site means those parts of Burswood Island as are-

  • Signage means advertising displays, hoardings, Glow signs, neon signs, LED signs, LCD signs, any digital signs, any sort of display intended to convey information and described in the schedule.
