The Executive will be paid a pro-rata portion of the Executive’s Target Bonus, less all applicable withholdings and deductions.
Such prorated Target Bonus will be determined by multiplying the amount of the Target Bonus by a fraction, the numerator of which is the number of days in the applicable calendar year immediately prior to the Termination Date and the denominator of which is three hundred and sixty-five (365).
The prorated Target Bonus will be paid on the Company’s first regularly scheduled pay date falling on or immediately after sixty (60) days from the Executive’s Termination Date.
