Target Bonuses means all Liabilities of Targets to current or former employees, directors, consultants and contractors for cash payments that are paid or payable by any Seller Group Party or any of their respective successors or assigns in connection with the Equity Purchase, including without limitation any severance, bonus or other payments due upon consummation of the Equity Purchase (and not any action by Buyer or its Affiliates at or after the Closing), including the employer portion of payroll taxes, such as social security and Medicare taxes, attributable to any of the above, but for the avoidance of doubt excluding Liabilities for the payment of accrued wages or accrued annual bonuses or other bonuses in the ordinary course of business or accrued and unused vacation time or paid time-off or for the reimbursement of any expenses incurred in the ordinary course of business consistent with past practice.

Examples of Target Bonuses in a sentence

  • The Executive's estate shall be entitled to receive a Target Bonus for the year in which the Executive death occurs prorated through the date of death based on the highest Target Bonus that could have been earned in such year (which Target Bonus will be paid on the same schedule as Target Bonuses are paid to other senior employees of the Company).

  • The evaluation of Executive’s performance relative to the Bonus objectives and the determination of the portion of the Target Bonus(es) (if any) that will be paid in any given year, shall be made by the Compensation Committee in its sole discretion.

  • Target Bonuses shall be payable, if earned, not later than January 31 of the year after the year for which they are earned.

  • Any portion of the Target Bonus(es) paid shall be paid in cash as a single lump-sum payment within ten (10) days following the time such payments are approved.

  • For example, if the Operating Group Bonus Pool for the U.S. Operating Group is $1,000,000 and the Target Bonus for the Bonus Eligible Employee is 2% of the sum of the Target Bonuses of all Bonus Eligible Employees in the U.S. Operating Group, then this Bonus Eligible Employee should generally expect a bonus of $20,000.

  • The Funded Bonus Pool from which Annual Bonuses are paid to Eligible Employees shall equal (a) the aggregate of the Annual Target Bonuses of all Eligible Employees multiplied by (b) the Bonus Pool Payout Factor for such Plan Year.

  • Unless otherwise provided in this Agreement, any amount payable or deliverable under Sections 6(e)(iii) (but only for payment of Target Bonuses), (iv), (vi) (but only for target number of Shares) and (ix) shall be paid in a lump-sum payment or delivered within 60 days following Executive’s termination of employment.

  • For example, if the sum of the Target Bonuses of all Bonus Eligible Employees within an Operating Group was 25% of the Target Bonus Pool, that Operating Group will receive an allocation of 25% of that portion of the Total Bonus Pool that is less than or equal to the Target Bonus Pool.

  • Since the Operating Group Bonus Pool will be a fixed amount, if any Bonus Eligible Employee receives more than a pro rata portion (based on Target Bonuses as described in the first paragraph of this subsection), one or more other Bonus Eligible Employees must receive less than their pro rata amount.

  • Payment of the Target Bonuses shall be as specified on Exhibit A.
