Target Client definition

Target Client. Groups means any of the following groups:
Target Client means a higher education institution/entity that is in the market to license ERP/supply chain application software products and that has its principal place of business in the relevant Territory.

  • On or before the close of each calendar quarter after Closing through the Second Contingent Installment Date, Sellers shall submit to Buyer a list of any new clients developed by Sellers to be added to the Target Client List, which addition shall be effective on the first day of the calendar quarter following such submission.

  • In the event any Services do not meet the Service Level Target, Client may be eligible to receive a Service Credit in accordance with the procedures described below.

  • Company shall have ten (10) business days from receipt of the Target Client Report to provide any change(s) to the submitted list.

  • Within 10 days after the date on which Sellers deliver the additional clients to be added to the Target Client List, the Buyer shall have the right to dispute any client so added by delivering a written notice to that effect to Sellers (a “Client Dispute Notice”).

  • Any Client Dispute Notice shall identify in reasonable detail the nature of any objection to adding the client or clients to the Target Client List.
