Target Effective Period definition

Target Effective Period has the meaning set forth in Section 2(a).
Target Effective Period means the period of time between the date on ----------------------- which a Shelf Registration Statement is actually declared effective and the later of (i) the date which is 24 months following the date hereof, and (ii) the date which is three months after the date on which all Holders cease to be an Affiliate of the Company.
Target Effective Period means the period a Registration Statement is required to be effective as set forth in Section 2.1.

  • If a stop order is imposed or if for any other reason the effectiveness of the Shelf Registration Statement is suspended during the Target Effective Period, then the Company shall pay liquidated damages to each Purchaser in an amount equal to $0.25 per 10,000 Conversion Shares per week beginning on the date of such stop order or other suspension of effectiveness.

Target Effective Period has the meaning set forth in Section 3(a).
Target Effective Period means the period of time between the date on which a Shelf Registration Statement is actually declared effective and the later of (i) the date which is 24 months following the latest date that any shares of Common Stock or Preferred Stock covered by such Registration Statement were issued, and (ii) the date which is three months following the date on which all Holders have ceased to be Affiliates of the Company, provided the Company first provides the Holder with an opinion of counsel to such effect.
Target Effective Period means the period of time between the date of this Agreement and the later of (A) (i) the date which is 24 months following the date hereof, (ii) the first date on which all Holders have consummated the sale of all of such Holders' Registrable Securities registered under the Shelf Registration Statement, or (iii) the date on which all of the Registrable Securities are eligible for sale pursuant to Rule 144(k) (or any successor provision) or in a single transaction pursuant to Rule 144(e) (or any successor provision) under the Securities Act, whichever of (i), (ii) or (iii) is earlier, or (B) the date which is three months after the date on which all Holders cease to be an Affiliate of the Company.

Related to Target Effective Period

  • Agreement Effective Period means, with respect to a Party, the period from the Agreement Effective Date to the Termination Date applicable to that Party.

  • Exclusive Period means the period of time set forth in Section 2.2.

  • Ineffective Period means any period of time that the Registration Statement or any supplemental registration statement becomes ineffective or unavailable for use for the sale or resale, as applicable, of any or all of the Registrable Securities (as defined in the Registration Rights Agreement) for any reason (or in the event the prospectus under either of the above is not current and deliverable) during any time period required under the Registration Rights Agreement.

  • Post-Termination Period means a period of 12 months (subject to extension as set forth in Section 8(f)) following the effective date of the termination of Executive’s employment.

  • Initial Termination Date has the meaning set forth in Section 9.1(b)(i).

  • Bonus Period means the period for which a Bonus is payable. Unless otherwise specified by the Board, the Bonus Period shall be the fiscal year of the Company.
