Target Indemnified Person definition

Target Indemnified Person and “Target Indemnified Persons” have the meanings set forth in Section 9.1(b).

Target Indemnified Person has the meaning set forth in Section 6.11(a).

Examples of Target Indemnified Person in a sentence

• In connection with any exercise by any Target Indemnified Person of its rights hereunder, it shall make any claim for indemnification only through, and Parent shall be entitled to deal exclusively with, the Stockholder Representative, and any claim for indemnification made directly by a Target Indemnified Person to Parent shall be deemed to be invalid for all purposes of this ARTICLE VII.

• The amount of any Damages shall be reduced by any insurance proceeds, indemnification payments, contributions, reimbursements or refunds actually recovered, net of costs and expenses, by or on behalf of the applicable Target Indemnified Person.

• Subject to the limitations set forth in this ARTICLE VIII, Axtive shall reimburse the Target Indemnified Person for the amount paid in such settlement and any other liabilities or expenses incurred by the Target Indemnified Person in connection therewith as Target Losses.

• The purpose of the business development strategy is to ensure long-term fulfilment of ILB‘s business development mission pursuant to its articles of association and the ILB law.

• If two or more Target Indemnified Persons deliver, whether separately or together, a Claim to Axtive pursuant to this Section 8.2 arising from or relating to the same or a reasonably similar matter, then the Target Principal Shareholder shall act on behalf of each such Target Indemnified Person for purposes of this Section 8.2.
