Target Indemnified Person definition

Target Indemnified Person and “Target Indemnified Persons” have the meanings set forth in Section 9.1(b).

Target Indemnified Person has the meaning set forth in Section 6.12(a).

• Notwithstanding clauses11.1(f) and 11.2(f) this Agreement may be varied by the parties to it without the approval of any Target Indemnified Person, any Bidder Indemnified Person or any director, officer or employee of Target or of any other member of the Target Group.

• Besides that, if a user is lost during read or write, then his lease would not be updated anymore and eventually overdue.

• The amount of any Damages shall be reduced by any insurance proceeds, indemnification payments, contributions, reimbursements or refunds actually recovered, net of costs and expenses, by or on behalf of the applicable Target Indemnified Person.

• Notwithstanding any other provision of this Agreement, if any claim for Damages is asserted by any Parent Indemnified Person or Target Indemnified Person (each as defined below) prior to the termination of the representation, warranty or indemnification obligation pursuant to this Section 7.2, the indemnification obligations set forth in this Section 7.2 shall continue with respect to such claim until the resolution thereof.

• In connection with any exercise by any Target Indemnified Person of its rights hereunder, it shall make any claim for indemnification only through, and Parent shall be entitled to deal exclusively with, the Stockholder Representative, and any claim for indemnification made directly by a Target Indemnified Person to Parent shall be deemed to be invalid for all purposes of this ARTICLE VII.

• This Section 10.9(a) shall not limit or otherwise adversely affect any rights any Target Indemnified Person may have under any agreement with the Target or any of its subsidiaries, under the Target Charter Documents or other organization documents or otherwise under applicable Law.

• The purpose of the business development strategy is to ensure long-term fulfilment of ILB‘s business development mission pursuant to its articles of association and the ILB law.

• No claim for Damages shall be made under this Section 4.2 unless the aggregate of Damages exceeds $10,000 for which claims are made hereunder by Target Indemnified Persons in which case Target Indemnified Person shall be entitled to seek compensation for all Damages without regard to the limitation set forth in this sentence (the "Target Indemnified Person Limitation").

• Acquiror shall cause the articles of incorporation and bylaws of the Surviving Corporation to contain the provisions with respect to indemnification and exculpation from liability set forth in Target’s articles of incorporation and bylaws on the date of this Agreement, which provisions shall not be amended, repealed or otherwise modified prior to the sixth anniversary of the Effective Time in any manner that would adversely affect the rights thereunder of any Target Indemnified Person.
